For the rolling twelve-month period ended June 30, 2024, Clear Line generated net sales of approximately £48.9 million, with an adjusted EBITA of approximately £21.7 million. Overall, Clear Line is a value-creating acquisition that complements Fasadgruppen's existing presence and strategy in the Nordic region well. Through the acquisition, the group positions itself to benefit from the extensive renovation, energy efficiency and fire remediation needs of the national property portfolio and the professional business climate that exists in the market, while continuing to develop its Nordic operations. お知らせ • Feb 12Fasadgruppen Group AB (publ) Creates Flatter OrganisationIn light of the weak financial performance in 2024, Fasadgruppen Group AB (publ) intends to implement a reorganisation that also entails changes in Group management. The purpose of the new structure is to create a flatter organisation with more efficient governance. The planned reorganisation will remove one level between Group management and the subsidiaries, and reorganise the unit with central support functions. The planned new organisation is based on a flat structure in which the subsidiaries are divided into clusters that share a Chair of the Board. Denmark and Norway will form their own clusters, each with a COB, while the Swedish market will initially be divided between seven COBs. To further optimise governance, a number of smaller subsidiaries will be incorporated as divisions of larger subsidiaries, which will reduce the number of business units by around 10. Overall, the changes are expected to provide opportunities to both reduce costs and increase profitability in the subsidiaries over time. In connection with the planned reorganisation, the composition of Fasadgruppen's Group management will change, with the majority having experience of running subsidiaries themselves. The purchase price consists of a cash consideration of £51.1 million, loan notes of £15.3 million which the sellers of Clear Line have undertaken to set off against new shares in Fasadgruppen (the “Loan Notes”) and shares in a newly formed local company in the UK with a value of £53.4 million (the “Company Shares”) in cash and debt free basis. For the rolling twelve-month period ended June 30, 2024, Clear Line generated net sales of approximately £48.9 million, with an adjusted EBITA of approximately £21.7 million. Overall, Clear Line is a value-creating acquisition that complements Fasadgruppen's existing presence and strategy in the Nordic region well. Through the acquisition, the group positions itself to benefit from the extensive renovation, energy efficiency and fire remediation needs of the national property portfolio and the professional business climate that exists in the market, while continuing to develop its Nordic operations. Fasadgruppen is financing the cash part of the acquisition with credit facilities of £48.4 million. The credit facilities are covered by the existing loan facility agreement totalling £158.752 million and £36.3 million that Fasadgruppen has with Nordea, SEB and Svensk Exportkredit.
