The deal is for an estimated consideration of AUD 10 million, which will be a combination of payments at completion and deferred compensation occurring on completion of jobs, and is subject to working capital adjustments. The acquisition is being funded via cash. The purchase price will be paid in stages, with the first payment occurring on the date of completion of the acquisition (and subsequent true up for working capital adjustments), and subsequent payments being made on future dates which will align with the construction of specified jobs. お知らせ • Jan 31Simonds Group Limited (ASX:SIO) entered into a binding agreement to acquire Dennis Family Homes Pty Ltd from DFC (Services) Pty Ltd.Simonds Group Limited (ASX:SIO) entered into a binding agreement to acquire Dennis Family Homes Pty Ltd from DFC (Services) Pty Ltd on January 31, 2025. The deal is for an estimated consideration of AUD 10 million, which will be a combination of payments at completion and deferred compensation occurring on completion of jobs, and is subject to working capital adjustments. The acquisition is being funded via cash. The purchase price will be paid in stages, with the first payment occurring on the date of completion of the acquisition (and subsequent true up for working capital adjustments), and subsequent payments being made on future dates which will align with the construction of specified jobs. There will be no change to the board and senior management as a result of the acquisition. Completion of the acquisition is subject to certain conditions usual for an acquisition of this type. Completion of the acquisition is expected to occur by early March 2025. The acquisition is expected to deliver attractive financial returns for Simonds, with a projected AUD 200 million additional revenue in FY26 and is projected to be earnings accretive by Q1 FY26.

Having served in the dual capacity of Executive Chair and CEO since 2021, Mr. Rhett Simonds will serve solely as Executive Chair, with effect from 3 November 2023. This allows Mr. Simonds to focus on key strategic issues, including the under-supply of housing facing the nation, key external relationships and other important growth opportunities for the Company. Having served alongside Mr. Simonds in the turnaround of Simonds since January 2023 as Chief Financial Officer, Mr. David McKeown will be promoted to the position of Chief Executive Officer. This provides a seamless transition and allows Mr. McKeown to continue to deliver on the turnaround of the core business built under Mr. Simonds' leadership including the return to profit for Simonds as announced on 10 October 2023. Mr. Bertus Strydom will serve alongside Mr. McKeown as Chief Financial Officer. Mr. Strydom, the current Executive General Manager Finance, served as Interim Chief Financial Officer for a period before Mr. McKeown's appointment to the role.
