Batu Kawan Berhad (KLSE:BKAWAN) entered into an Unconditional share sale agreements to acquire 3.3% stake in MKH Oil Palm (East Kalimantan) Berhad (KLSE:MKHOP) from Chen Choy & Sons Realty Sdn Bhd for MYR 21.9 million. Batu Kawan Berhad (KLSE:BKAWAN) entered into an Unconditional share sale agreements to acquire 3.3% stake in MKH Oil Palm (East Kalimantan) Berhad (KLSE:MKHOP) from Chen Choy & Sons Realty Sdn Bhd for MYR 21.9 million on May 20, 2026. A cash consideration of MYR 21.9 million valued at MYR 0.6478 per share will be paid by Batu Kawan Berhad. As part of consideration, MYR 21.9 million is paid towards common equity of MKH Oil Palm (East Kalimantan) Berhad. In a related transaction, Batu Kawan Berhad entered into an Unconditional share sale agreements to acquire 29.60% stake in MKH Berhad (KLSE:MKH) from Chen Choy & Sons Realty Sdn Bhd for MYR 340 million. Concurrently, Batu Kawan Berhad entered into a Conditional share sale agreements to acquire 18.10% stake in MKH Berhad (KLSE:MKH) from a group of shareholders for approximately MYR 210 million. As at the date of the MKH Conditional SSA, MKH and its subsidiaries (“MKH Group”) collectively hold 65.3% of the voting shares in MKHOP. Upon the Proposed Mandatory Take-over Offer (MO) becoming unconditional as to acceptances, the Offeror will be obliged to undertake the MO for all the remaining voting shares in MKHOP not already owned by the Offeror, the Ultimate Offeror and the PACs as MKHOP constitutes a significant downstream company of MKH.
The SSAs for the Acquisitions are not subject to any conditions precedent and are unconditional as at the date. The Acquisitions will be effected by way of direct business transactions which will take place within 30 days from the date of the Acquisitions SSAs.
