Keppel REIT (SGX:K71U) completed the acquisition of additional 33.33% stake in Marina Bay Financial Centre Tower 3 from Sageland Private Limited. Keppel REIT (SGX:K71U) signed an sale and purchase agreement to acquire additional 33.33% stake in Marina Bay Financial Centre Tower 3 from Sageland Private Limited for approximately SGD 910 million on December 11, 2025. A cash consideration of SGD 908.1 million will be paid by Keppel REIT. As part of consideration, SGD 908.1 million is paid towards assets of Marina Bay Financial Centre Tower 3. Upon completion, Keppel REIT will own two-third interest in Marina Bay Financial Centre Tower 3. The transaction will be financed through senior debt of SGD 51.2 million and Initially funded by an Equity Bridge Loan of SGD 886.3 million. The net proceeds raised from the Preferential Offering will be used to repay the Equity Bridge Loan.
Completion will take place on December 31, 2025.

Keppel REIT (SGX:K71U) executed a sale and purchase agreement to acquire an additional 33.33% stake in Central Boulevard Development Pte Ltd from Sageland Private Limited for approximately SGD 910 million. Keppel REIT (SGX:K71U) executed a sale and purchase agreement to acquire an additional 33.33% stake in Central Boulevard Development Pte Ltd from Sageland Private Limited for approximately SGD 910 million on December 11, 2025. A cash consideration of SGD 908.1 million will be paid by Keppel REIT. As part of consideration, SGD 908.1 million is paid towards common equity of Central Boulevard Development Pte Ltd. The consideration is subject to post-completion adjustments. Upon completion, Keppel REIT will own 66.67% stake in Central Boulevard Development Pte Ltd. The transaction will be financed through approximately 94.5% from net proceeds of the preferential offering and approximately 5.5% from debt financing.

A cash consideration of AUD 525 million will be paid by MA Financial Group Limited and Keppel REIT. The transaction will be financed through equity investment of AUD 256.44 million and senior debt of AUD 170.96 million.

Keppel REIT Announces CFO Changes Keppel REIT Management Limited (Keppel REIT Management), as Manager of Keppel REIT (the Manager) announced the appointment of Mr. Sebastian Song, 42, as the Chief Financial Officer (CFO) of the Manager with effect from 30 October 2023. Mr. Song succeeds Ms. Kang Leng Hui, who will step down as CFO on 27 October 2023 to pursue other opportunities. Mr. Song has more than 18 years of experience in financial reporting, consolidation, taxation, compliance and audit. He joined Keppel REIT Management in 2015 and has been the Financial Controller of the Manager since 2020, where his core responsibilities included group reporting and taxation, financial accounting, compliance, annual budgeting and quarterly forecasting. Prior to joining the Manager in 2015, he was a Senior Audit Manager with Ernst & Young LLP, where he was involved in the audit of Singapore-listed corporations and multinational companies across various industries including real estate, construction and shipping, as well as initial public offerings. Keppel REIT Appoints Carol Anne Tan Mei Ling as an Independent Non-Executive Director and A Member of the Environmental, Social and Governance Committee of the Manager Keppel REIT Management Limited announced the appointment of Ms. Carol Anne Tan Mei Ling () as an independent non-executive director and a member of the Environmental, Social and Governance (ESG) Committee of the Manager with effect from 2 May 2023. Ms. Tan has over 20 years of experience in the legal and real estate sectors. In the span of her career, she acted as counsel on many landmark real estate transactions in Singapore, representing and advising various major real estate companies, institutions, fund managers, REITs and investors. She has been involved in the acquisition, development and divestment of land and buildings in the commercial, industrial and business park spaces, including property-related corporate disposals and acquisitions, joint ventures and real estate financing. Prior to her retirement in 2019, she was the Head of Real Estate (Southeast Asia) at Clifford Chance Asia where she was responsible for undertaking real estate transactions in Singapore and for oversight of real estate related aspects of transactions in Singapore and other jurisdictions, including China and India, with local counsel. Between 2004 and 2015, she was with WongPartnership LLP as a Partner in the Corporate Real Estate Practice. Her main areas of practice included property-related corporate disposals and acquisitions, property acquisitions and divestments, tender-related acquisitions, government land sales, as well as property regulatory and advisory work. Ms. Carol Tan replaces Mr. Mervyn Fong () as a member of the ESG committee. Mr. Fong is currently an independent non-executive director of the Manager and will continue to be a member of both the Audit and Risk Committee as well as the Nominating and Remuneration Committee of the Manager. Ms. Carol Tan holds a Bachelor of Laws with Honours from the National University of Singapore. the Board of Keppel REIT Management will comprise seven directors, of whom five are independent directors and two are female directors.
