DoJ Orders Keysight to Sell Assets to Finalise Spirent Deal The US Department of Justice (DoJ) has ordered US electronic design and test solutions specialist Keysight Technologies, Inc. (NYSE:KEYS) to sell key assets of Spirent Communications plc (LSE:SPT) before completing the GBP 1.16 billion (USD 1.57 billion /EUR 1.38 billion) purchase of the UK telecommunications testing company. The DoJ said on June 2, 2025 that its antitrust division has filed a lawsuit to block the merger and has simultaneously submitted a proposed settlement requiring divestiture to resolve competition concerns. To maintain market competitiveness, Keysight must divest Spirent’s high-speed ethernet testing, network security testing, and RF channel emulation units, accounting for roughly 40% of Spirent’s revenue, to rival firm Viavi Solutions Inc. These businesses are vital for sectors such as cloud computing and telecom, which rely on advanced testing tools, according to the statement. Assistant attorney general Abigail Slater said the agreement “ensures continued innovation and fair pricing” in the communications testing market. Accordingly, the Spirent Directors intend to recommend unanimously that Spirent Shareholders vote in favor of the Scheme at the Court Meeting and the Special Resolution(s) to be proposed at the Spirent General Meeting. A Group of Spirent Directors who holds 1,347,466 shares, representing 0.2329% of Spirent, have given irrevocable undertakings to vote in favor of the Scheme at the Court Meeting and the Special Resolution to be proposed at the Spirent General Meeting. The full cash consideration payable under the Acquisition, together with certain fees and expenses in connection with the Acquisition, is being fully funded by a combination of cash resources available to Viavi, £314.428 million investment from Silver Lake in the form of Convertible Notes issued by Viavi to Silver Lake and debt financing comprise a £628.856 million 7-year senior secured term loan; a £235.821 million senior secured 364-day cash flow term loan; and a £78.607 million senior secured revolving credit facility. The solution wraps the O-RU with a real-time O-DU emulator through a fully compliant O-RAN 7.2 interface, a CU emulator, a core network emulator, and a commercial UE emulator for real-world Interoperability Testing (IOT) to deliver a testbed capable of running real-world test scenarios in the lab. Customers can also use a commercial device in place of the UE emulator to validate all timing, full throughput including 4x4 MIMO, and any system-level test that an O-RU would experience in a real-world deployment scenario to test true performance and interoperability at a functional level rather than at the interface.
