Rocket Lab Corporation (NasdaqGS:RKLB) entered into a definitive agreement to acquire Iridium Communications Inc. (NasdaqGS:IRDM) for $5.9 billion. Rocket Lab Corporation (NasdaqGS:RKLB) entered into a definitive agreement to acquire Iridium Communications Inc. (NasdaqGS:IRDM) for $5.9 billion on June 28, 2026. The transaction is structured as a collar consideration, where the collar is banded from $67.50 to $112.50 of Rocket Lab’s share. As per the agreement, each issued and outstanding share of common stock of Iridium will be converted into the right to receive (i) $27.00 in cash and (ii) a number of shares of Rocket Lab’s common stock equal to the Exchange Ratio, in each case without interest. The “Exchange Ratio” will be the following: (i) if the Rocket Lab Common Stock Price (as defined below) is equal to or less than $67.50, then the Exchange Ratio will be 0.4000; (ii) if the Rocket Lab Common Stock Price is greater than $67.50 but less than $112.50, then the Exchange Ratio will be the quotient obtained by dividing $27.00 by the Rocket Lab Common Stock Price, rounded to four decimal places; and (iii) if the Rocket Lab Common Stock Price is equal to or greater than $112.50, then the Exchange Ratio will be 0.2400. The transaction has a notional value of $54.00 per share of Iridium common stock, implying an enterprise value for Iridium of approximately $8 billion. As part of the transaction, Rocket Lab has received commitments for a $3.6 billion 364-day senior secured bridge term loan facility from Deutsche Bank and Wells Fargo. Rocket Lab intends to fund the cash component of the transaction through a combination of cash from its balance sheet and other debt and equity financing sources. In case of termination of transaction, Iridium Communications Inc. will pay a termination fee of $223.6 million.
The transaction is subject to the expiration or termination of applicable waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and consent of the U.S. Federal Communications Commission to the transfer of control of certain telecommunication authorizations held by Iridium, approval by regulatory board / committee, approval of merger agreement by target board, approval of offer by acquirer board, approval of offer by target shareholders, and the effectiveness of a registration statement on Form S-4 with respect to shares of Rocket Lab Common Stock to be issued in the Transactions and approval of such shares for listing on the Nasdaq Global Select Market. The deal has been unanimously approved by the board of both Rocket Lab and Iridium. The transaction is expected to be completed in mid-2027

Rocket Lab Corporation Launches VICTUS HAZE Mission And Deploys Pioneer Spacecraft For U.S. Space Force Rocket Lab Corporation successfully launched its Electron rocket and deployed its own Pioneer spacecraft for the U.S. Space Force (USSF) Space Systems Command’s (SSC) VICTUS HAZE Tactically Responsive Space (TacRS) mission led by the SSC’s Space Safari Program Office. Lifting off from Rocket Lab Launch Complex 1 in New Zealand at 10:19 pm NZT on June 19th, the mission shattered the previous TacRS record set by VICTUS NOX by more than 10 hours. The feat establishes a new global benchmark for rapid call-up space capabilities. VICTUS HAZE marks the first time a single prime contractor has provided an entire all-in-one mission as a complete package for a TacRS mission. Rocket Lab vertically engineered, built, and tested the highly maneuverable Pioneer spacecraft, executed the rapid launch, and is now managing on-orbit operations for VICTUS HAZE. Rocket Lab’s Pioneer spacecraft is now conducting Rendezvous and Proximity Operations (RPO) in low Earth orbit, simulating a rapid threat-response scenario alongside a non-compliant satellite. The ability to rapidly launch a spacecraft, pursue an object in space, photograph it, and monitor its behavior in real time, gives the U.S. and its allies the Space Domain Awareness capability and the vital intelligence it needs to maintain U.S. superiority in space. Key VICTUS HAZE Mission Achievements: 16 Hours, 42 Minutes (Notice-to-Launch): The length of time between Rocket Lab receiving the Notice To Launch from the SSC’s Space Safari Program Office and Electron’s launch from Launch Complex 1. 4 Hours (Trajectory Calculation): Rocket Lab’s Guidance, Navigation, and Control (GNC) team took just ~4 hours to calculate final trajectories, update flight software, and coordinate global ground stations in preparation for launch. 37 Hours, 36 Minutes (Spacecraft Commissioning): Rocket Lab fully activated and readied the Pioneer spacecraft for its first orbital maneuver, beating VICTUS HAZE’s strict 72-hour deadline by more than 34 hours. The successful launch of VICTUS HAZE builds on Rocket Lab’s extensive history of delivering responsive space missions, including a previous launch record in 2024 when Rocket Lab launched two Electron missions from two different hemispheres in less than 24 hours. Rocket Lab’s ability to rapidly compress what is typically a multi-year defense acquisition timeline was made possible through the company’s extensive vertical integration. Mr. Ricupati brought more than two decades of senior finance and accounting leadership at publicly traded multinational companies. He would be responsible for global accounting operations at the Company. Prior to joining the Company, Mr. Ricupati served as Senior Vice President and Chief Accounting Officer of Cooper Companies Inc. from July 2017 through May 2026. From July 2013 to July 2017, Mr. Ricupati served as Vice President Tax and Global Trade Compliance of Cooper Companies. Rocket Lab Corporation (NasdaqCM:RKLB) completed the acquisition of Motiv Space Systems, Inc. Rocket Lab Corporation (NasdaqCM:RKLB) entered into an Equity Purchase Agreement to acquire Motiv Space Systems, Inc. for $60 million on May 6, 2026. An upfront payment of $40 million cash consideration which is subject to adjustments at closing will be paid by Rocket Lab Corporation. Rocket Lab Corporation will pay an earnout/contingent payment of $20 million common equity.
The acquisition is expected to close during the second quarter of 2026 subject to the completion of customary closing conditions.

Rocket Lab Corporation Completes Ninth Electron Launch for Synspective Rocket Lab Corporation announced the successful deployment of the latest satellite for Synspective, marking the ninth dedicated mission Rocket Lab has completed for the Japan-based Earth observation constellation. The “Viva La StriX” mission launched on Electron from Launch Complex 1 in New Zealand at 9:33 p.m. NZST on May 22, 2026 to a 572km low Earth orbit. Rocket Lab’s deployment of the ninth StriX satellite expands Synspective’s synthetic aperture radar (SAR) constellation delivering high-resolution Earth observation data globally. As part of its dedicated launch service, Rocket Lab also supplied Synspective with a custom Electron rocket fairing for the launch that was tailored to the StriX satellite’s dimensions. The customisation is a unique feature of Rocket Lab and Synspective’s partnership that helps to ensure Electron’s ongoing 100% mission success rate for StriX satellite deployments. This mission brings Rocket Lab’s total launch count to 88 and reinforces Electron as the premier small launch provider globally. With another 18 launches for Synspective booked on Electron, Rocket Lab remains the company’s sole launch provider and trusted partner in enabling rapid, repeatable access to space.
