Ares Real Estate Management Holdings, LLC entered into a definitive merger agreement to acquire Whitestone REIT (NYSE:WSR) for approximately $1 billion on April 8, 2026. Pursuant to the terms and conditions in the Merger Agreement, each each common share of beneficial interest of Whitestone REIT will be automatically cancelled and converted into the right to receive an amount in cash equal to $19.00 (the “Merger Consideration”), without interest. Furthermore, each outstanding OP unit of partnership interest of Whitestone REIT Operating Partnership, L.P. will be converted into, and will be cancelled in exchange for, the right to receive an amount in cash equal to the Merger Consideration. Equity and debt financing commitments will be used to fund the transaction where Citigroup Global Markets Inc. has committed to provide debt financing under the debt commitment letter. In case of termination of transaction, Ares Real Estate Management Holdings, LLC will pay a termination fee of $77 million and Whitestone REIT will pay a termination fee of $36 million. Upon completion of the transaction, Whitestone will become a private company and shares of Whitestone’s common stock will be de-registered under the Securities Exchange Act of 1934, as amended, and no longer trade on the NYSE.
The transaction, which was unanimously approved by the Whitestone Board of Trustees, is expected to close in the third quarter of 2026, subject to customary closing conditions, including approval by the Whitestone REIT’s shareholders. Additionally, Ares shall have received a tax opinion of Bass, Berry & Sims PLC that Whitestone REIT has been organized and operated in conformity with the requirements for qualification and taxation as a REIT under the Code.

MCB PR Capital LLC cancelled the acquisition to acquire remaining 90.6% stake in Whitestone REIT (NYSE:WSR). MCB PR Capital LLC made a proposal to acquire remaining 90.6% stake in Whitestone REIT (NYSE:WSR) for approximately $680 million on June 3, 2024. MCB made an all cash offer to acquire all of the outstanding common shares of Whitestone, at a price of $14 per share. MCB expect to fund the acquisition with a combination of equity and debt. MCB currently owns 4,690,000 of the Company’s common shares, representing approximately 9.4% of Whitestone's outstanding common shares. Equity for this transaction is fully committed from discretionary capital managed by MCB. With respect to the debt portion of the acquisition, MCB received a Highly Confident Letter from Wells Fargo with respect to the debt financing needed to complete the transaction. As of June 10, 2024, Whitestone Board of Trustees declines the offer. The Board believes that MCB indicated offer price does not represent a fair valuation and strongly believes that current management has a clear strategy and compelling pathway for creating long-term shareholder value significantly greater than the amount offered. On October 9, 2024, MCB PR Capital increased the value of its proposal to acquire the Whitestone REIT in an all-cash transaction. Under the terms of the revised proposal, Whitestone shareholders would receive $15 per share in cash. As of October 30, 2024, the Whitestone Board of Trustees has unanimously determined to reject indication of interest and does not believe it reflects an appropriate valuation to enter into discussions toward a negotiated transaction.
MCB expect the transaction’s definitive agreements to contain terms customary for a public REIT go-private transaction, including a customary condition to closing related to obtaining the approval of the Company’s shareholders. The Proposal is non-binding and subject to confirmatory diligence, as well as the execution of definitive transaction agreements. MCB has engaged Vinson & Elkins L.L.P. as lead counsel in connection with this transaction. Wells Fargo Securities, LLC acted as financial advisor to MCB.

Whitestone REIT Announces Changes in Board of Trustees Whitestone REIT announced the appointments of Kristian (“Krissy”) M. Gathright and Donald (“Don”) A. Miller, CFA, to the Board of Trustees, effective immediately. Ms. Gathright currently serves as a Board member of Apple Hospitality REIT that owns one of the largest and most diverse portfolios of upscale, rooms-focused hotels in the United States. During a span of over 20 years, she served in various roles at the company, including operations, strategic decision-making, raising capital and investor relations. In addition to her extensive operational and strategic contributions at Apple REIT, Ms. Gathright was instrumental in the company’s 2015 listing on the NYSE and its ownership transition from retail to institutional shareholders. She was serving as Apple REIT’s Executive Vice President and Chief Operating Officer prior to her retirement in 2020. Ms. Gathright has also served on the Board of Trustees for Spirit Realty, a net lease REIT. Ms. Gathright’s real estate operational expertise, B2C knowledge and Board experience will be highly complementary to Whitestone’s Board. Mr. Miller served as President and Chief Executive Officer for Piedmont Office Realty Trust for over a decade, including overseeing its initial public offering in 2010. Under his leadership, Piedmont recycled approximately $2.2 billion in assets and executed a consistent strategy focused on aggregating high-quality assets in targeted markets – a strategy that was reflected in Piedmont’s top-quartile ranking of stock performance relative to its peer group during the last three years prior to Mr. Miller’s retirement in 2019. Prior to his time at Piedmont, Mr. Miller was the head of real estate activities at Wells Real Estate Funds, where he was responsible for directing all aspects of acquisitions, asset management, dispositions, leasing property management and construction. He currently serves on the Board of Directors for three privately held organizations with significant real estate investments: Pacolet Milliken Enterprises, Watkins Associated Industries, and The Feil Organization.
