The note will be issued at discount of $18,700 to par value of $205,700, carries a fixed coupon rate of 8% per annum, and will mature on August 12, 2021. The company will pay the interest in common shares. The investor is entitled, at its option, at any time after 180 days, to convert all or any amount of the principal face amount of this note then outstanding into common shares of the company at a price equal to 78% of the lowest closing bid price of the common stock as reported on the National Quotations Bureau OTC Markets exchange for 20 prior trading days including the day upon which a notice of conversion is received by the company.
In the event of default, the company will pay interest rate of 24% per annum. The prepayment amount will be equal to 115% of the principal amount if paid under 30 days from the date of issuance, 120% if paid between 31 to 60 days, 125% if paid between 61 to 90 days, 130% if paid between 91 to 120 days, 135% if paid between 121 to 180 days and may not be redeemed after 180 days. The company will reimburse any expenses incurred by the investor with respect to the transaction. The note is exchangeable for an equal aggregate principal amount of notes of different authorized denominations, as requested by the investor.
