Digimarc Insiders Sold US$620k Of Shares Suggesting Hesitancy

Published
NasdaqGS:DMRC

Digimarc Corporation (NASDAQ:DMRC) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Digimarc Insider Transactions Over The Last Year

The insider, Milena Alberti-Perez, made the biggest insider sale in the last 12 months. That single transaction was for US$151k worth of shares at a price of US$30.84 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$37.41. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 25% of Milena Alberti-Perez's stake.

In the last year Digimarc insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership Of Digimarc

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Digimarc insiders own 30% of the company, currently worth about US$234m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About Digimarc Insiders?

It doesn't really mean much that no insider has traded Digimarc shares in the last quarter. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Digimarc insider transactions don't fill us with confidence. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
