Trulieve Continues Optimization Efforts with Closure of California Retail Location and Plan to Wind Down Massachusetts Operations Trulieve Cannabis Corp. announced additional measures to preserve cash and improve financial performance. Since mid-2022, Trulieve has undertaken proactive steps to rationalize cash and margin dilutive assets and streamline operations while reallocating resources toward attractive markets with long-term growth potential. Measures taken to date include the closure of select California retail assets, exit of the Nevada wholesale market and idling of production capacity to match consumer demand across multiple markets. Consistent with optimization efforts, Trulieve has elected to close the retail location in Grover Beach, California. This closure follows the exit of select California retail assets last year in Palm Springs and Venice. In addition, the Company has decided to wind down its operations in Massachusetts. Dispensaries located in Framingham, Northampton and Worcester will close on June 30, 2023. The Company expects to cease Massachusetts operations by the end of 2023. (CNSX:TRUL) agreed to acquire Solevo Wellness West Virginia LLC for $0.65 million on April 13, 2021. Trulieve has agreed to acquire Solevo and its three dispensary permits for $0.65 million with an upfront payment of $0.15 million in cash, and $0.5 million in Trulieve subordinate voting shares. Trulieve Cannabis Corp. (CNSX:TRUL) entered into a definitive agreement to acquire Harvest Health & Recreation Inc. (CNSX:HARV) for $1.2 billion. Trulieve Cannabis Corp. (CNSX:TRUL) entered into a definitive agreement to acquire Harvest Health & Recreation Inc. (CNSX:HARV) for $1.2 billion on May 10, 2021. Under the terms of the transaction, shareholders of Harvest will receive 0.1170 of a subordinate voting share of Trulieve for each Harvest subordinate voting share. After giving effect to the Transaction, Harvest Shareholders will hold approximately 26.7% of the issued and outstanding pro forma Trulieve Shares. In case of termination, the agreement provides a $100 million reciprocal termination fees under certain circumstances.
The Transaction is subject to, among other things, the approval of the necessary approvals of the Supreme Court of British Columbia, the approval of two-thirds of the votes cast by Harvest Shareholders at the Special Meeting, receipt of the required regulatory approvals, including, but not limited, approval pursuant to the Hart–Scott–Rodino Antitrust Improvements Act, and other customary conditions of closing. Approval of Trulieve Shareholders is not required. The Transaction has been unanimously approved by the Boards of Directors of each of Trulieve and Harvest. Harvest Shareholders holding more than 50% of the voting power of the issued and outstanding Harvest Shares have entered into voting support agreements with Trulieve to vote in favor of the Transaction. The transaction will be accretive to Trulieve shareholders.
