Invacare falls on bankruptcy filing

Medical equipment maker Invacare Corporation (NYSE:IVC) lost ~20% in the pre-market trading Wednesday after announcing that the company and two U.S.-based subsidiaries filed for voluntary Chapter 11 bankruptcy. The cases, filed in the Bankruptcy Court for the Southern District of Texas, do not include its international operations and are not expected to impact the company’s ability to serve its global clientele, Invacare (IVC) said. The bankruptcy cases follow a financial restructuring agreement the company inked with almost all of its debt holders and most of the convertible noteholders. The deal, known as Restructuring Support Agreement, allows Invacare (IVC) to reduce its debt by ~$240M and provides the company with $60M equity capital to repay certain debt and fund its transformation plan. “The company expects to emerge with significantly less debt on its balance sheet and will secure additional liquidity to support long-term growth,” Invacare’s (IVC) recently appointed Chief Executive Geoff Purtill noted.

Invacare announces additional draw of $5.5M term loans

Invacare (NYSE:IVC) announced additional draw of $5.5M of term loans under its credit agreement. The company said certain funds will be managed by Highbridge Capital Managed. The company will use the proceeds of the additional draw for general corporate purposes, it said. About $14M of additional liquidity remains available under the Amended Highbridge Credit Agreement, subject to satisfaction of certain conditions set forth therein.

Invacare press release (NYSE:IVC): Q3 GAAP EPS of -$0.92. Revenue of $170.4M (-24.0% Y/Y). Gross margin was 18.4%, a decrease of 850 basis points, including 510 basis points of decline related to the write-down of respiratory inventory as a result of the decision to discontinue production of respiratory products. SG&A expense decreased 1.4% to $55.4 million, and constant currency SG&A increased 4.5%. Operating loss was $33.4 million compared to a loss of $24.8 million. Adjusted EBITDA loss was $11.8 million, compared to positive $8.0 million. Free cash flow usage was $20.5 million compared to usage of $6.1 million.

Invacare receives non-compliance letter from NYSE

Invacare (NYSE:IVC) said on Thursday it had received notice from the New York Stock Exchange that it was not in compliance with the NYSE listed company manual as the average closing price was less than $1 per share over a consecutive 30 trading-day period. The company plans to notify the NYSE by October 7 on its plan to return to compliance with the NYSE continued listing standard. The company can regain compliance at any time within the six-month period. The company is required to have a closing share price of at least $1 over a consecutive 30 trading-day period. The company intends to consider available alternatives, including, but not limited to, a reverse stock split, subject to shareholder approval no later than at the company’s next annual meeting of shareholders.

Invacare names Geoffrey Purtill as interim president and executive chief

Invacare (NYSE:IVC) on Monday has named Geoffrey P. Purtill as the company's interim president and chief executive officer, succeeding departing chairman, president and CEO Matthew E. Monaghan. The transition is effective Aug. 28, 2022. Geoffrey P. Purtill had been serving as the Invacare's senior vice president and general manager, EMEA and APAC.  "We welcome Geoff who has distinguished himself throughout his tenure with Invacare. The Board has full confidence that he has the right skillset and industry experience to lead the company through this transition as we search for a permanent successor who can accelerate the achievement of our objectives," said Cliff Nastas, Invacare’s lead independent director. In addition, the Board has announced the appointment of Michael J. Merriman as its director and non-executive Chairman. Merriman previously served as chair of the company's audit committee from 2014 to 2018. "As the independent Chairman of the Board, Merriman succeeds Cliff Nastas as the company's lead independent director," report.  IVC stock jumps 9% in premarket on Monday to trade at $0.94 vs 52-week level of $0.80 to $8.73.

Invacare adds two new directors after deal with largest investor Azurite

Medical equipment maker Invacare Corporation (NYSE:IVC) has appointed two new directors with immediate effect as part of a corporation agreement with its largest shareholder, Azurite Management LLC, which owns more than 10% of IVC stock. The new directors, Steven H. Rosen and Edward F. Crawford will replace Julie A. Beck and Stephanie L. Fehr, who resigned from the board on Aug. 22. Mr. Rosen is the Co-Founder, and Co-Chief Executive of Ohio-based private equity firm Resilience Capital Partners LLC. Crawford, a former U.S. ambassador to Ireland from 2019 to 2021, currently serves Resilience as a Member of its Board of Advisors. As part of the deal, IVC has agreed to set up a five-member Strategy and Operational Improvement Committee comprising the new appointees. The terms of the corporation agreement include certain standstill provisions which, among other things, will bar Azurite from raising its IVC stake above 19.9%.
