Oceaneering International Insiders Sell US$1.4m Of Stock, Possibly Signalling Caution

Published
NYSE:OII

Many Oceaneering International, Inc. (NYSE:OII) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Oceaneering International Insider Transactions Over The Last Year

The Senior VP & CFO, Alan Curtis, made the biggest insider sale in the last 12 months. That single transaction was for US$576k worth of shares at a price of US$27.32 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$24.55. So it may not tell us anything about how insiders feel about the current share price.

In the last year Oceaneering International insiders didn't buy any company stock. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Does Oceaneering International Boast High Insider Ownership?

Many investors like to check how much of a company is owned by insiders. We usually like to see fairly high levels of insider ownership. Insiders own 1.7% of Oceaneering International shares, worth about US$43m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Oceaneering International Tell Us?

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But since Oceaneering International is profitable and growing, we're not too worried by this. Insiders own shares, but we're still pretty cautious, given the history of sales.
