Have Northern Trust Insiders Been Selling Stock?

We wouldn't blame Northern Trust Corporation (NASDAQ:NTRS) shareholders if they were a little worried about the fact that Peter Cherecwich, the Executive VP & President of Asset Servicing recently netted about US$1.0m selling shares at an average price of US$87.09. That sale reduced their total holding by 13% which is hardly insignificant, but far from the worst we've seen.

Northern Trust Insider Transactions Over The Last Year

The Chairman & CEO Michael O’Grady made the biggest insider purchase in the last 12 months. That single transaction was for US$1.3m worth of shares at a price of US$65.10 each. Even though the purchase was made at a significantly lower price than the recent price (US$84.60), we still think insider buying is a positive. Because the shares were purchased at a lower price, this particular buy doesn't tell us much about how insiders feel about the current share price.

Happily, we note that in the last year insiders paid US$1.7m for 26.77k shares. On the other hand they divested 12.06k shares, for US$1.1m. In total, Northern Trust insiders bought more than they sold over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership Of Northern Trust

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Northern Trust insiders own 1.4% of the company, currently worth about US$233m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
