Hennessy Advisors Insiders Got A Good Deal Selling At US$6.72
While Hennessy Advisors, Inc. (NASDAQ:HNNA) shareholders have had a good week with the stock up 12%, insiders can't say the same having sold stock over the past year. They could have sold their shares at much higher prices and gotten a better return on their investment if they had waited.
While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Hennessy Advisors
In the last twelve months, the biggest single sale by an insider was when the insider, Rodger Offenbach, sold US$67k worth of shares at a price of US$6.72 per share. That means that even when the share price was below the current price of US$8.90, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 8.3% of Rodger Offenbach's holding. Rodger Offenbach was the only individual insider to sell over the last year.

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 40% of Hennessy Advisors shares, worth about US$27m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
