BT Brands Files an Exempt Solicitation Statement with Securities and Exchange Commission On August 19, 2024, BT Brands, Inc., led by Chairman and CFO Kenneth W. Brimmer and CEO Gary Copperud filed an exempted solicitation statement with Securities and Exchange Commission, and issued an open letter to Company’s shareholders, urging to withhold support for the incumbent director candidates in the upcoming annual shareholder meeting scheduled for August 27, 2024. BT Brands claims that despite their timely communication of intent to nominate candidates and adherence to procedural requirements, the Company’s CEO, A. Scott Mobley, failed to provide the necessary nomination materials within the prescribed window (April 12 to May 12, 2024). According to BT Brands, CEO Mobley promised in an April 24, 2024, email to provide the necessary questionnaire for director candidates, but the materials were never sent, leading to the disqualification of their nominations. BT Brands argues that this omission effectively turned what could have been a contested election into an uncontested one, thereby entrenching the current CEO and 2 other directors for another year. Noble Roman's, Inc. Announces That BT Brands Has Withdrawn Its Lawsuit Against the Company and Its Directors Following Adverse Ruling by Court Noble Roman's, Inc. announced that BT Brands has voluntarily dismissed its lawsuit against Noble Roman's and its Directors. Noble Roman's commented that they are pleased that the withdrawal of the lawsuit on September 7th evidences BT Brands and Gary Copperud's belated acknowledgment that their claims were meritless, right before the Company and Directors were due to file their pleadings and Noble Roman's was to assert its claims for BT Brands' and Copperud's public misrepresentations and other abusive conduct. Noble Roman's previously reported that last month the United States District Court for the Southern District of Indiana (the "Court") denied BT Brands' motions for a temporary restraining order and preliminary injunction. In its detailed ruling, the Court made three important holdings: (1) that BT Brands faced little likelihood of succeeding on their claims, (2) that "[Mr.] Copperud's nomination was disqualified by the simple application of a longstanding and openly known bylaw," and (3) even if it were found to be true that Noble Roman's inadvertently omitted information from its Company's proxy statement, the alleged omissions were immaterial. BT Brands' specific representations to the Company when it nominated Mr. Copperud for election to Noble Roman's Board were false. Neither BT Brands nor Copperud were shareholders of record of the Company at the time or on the record date for the Company's 2023 annual meeting as required by the Company's bylaws. Despite BT Brands' and Copperud's self-serving statements to the contrary, the Company's bylaws govern the rights and obligations of the Board of Directors and shareholders. BT Brands, Inc. Files Lawsuit Against Noble Roman and its Directors BT Brands, Inc. in an important step in its effort to achieve a fair vote for Noble Roman shareholders, together with CEO Gary Copperud, on August 2, 2023, filed a lawsuit in Federal Court for the Southern District of Indiana naming both the Company, Noble Roman’s, (“NROM”) and its Directors as Defendants. The suit alleges that the Company and its Directors violated federal law in omitting material information from its Definitive Proxy Statement, that the Company and its Directors have violated their fiduciary duties in attempting to prevent BT Brands’ nomination of Mr. Copperud, frustrating the expressed will of an overwhelming number of shares. The lawsuit notes that Mr. Copperud was recognized as an approved candidate for election as a director at the July 6, 2023, Noble Roman annual meeting of stockholders, scheduled for August 10, 2023. A recent tabulation of votes shows shareholders favor Gary Copperud, BT Brands, Inc.’s nominee, leading Scott Mobley, NROM’s nominee, by several million votes representing nearly a 3.5:1 margin of potential victory. Also, BT Brands and Mr. Copperud together filed a motion requesting the Court to order the Company and its Directors to hold an annual meeting at which Mr. Copperud’s nomination will be duly considered, the votes in his favor counted, and the results of the shareholders’ directive respected. Owning a combined stake of more than 8% of NROM shares, BT Brands nominated Mr. Copperud to serve as a director of NROM to add a fresh perspective to its board, including reviews of policies concerning executive compensation and corporate borrowing. In a move made after it became clear that Mr. Copperud would defeat Mr. Scott Mobley, just nine days prior to the original shareholder annual meeting date, NROM declared that, despite initially enabling and recognizing Mr. Copperud’s nomination, the nomination was deemed to be not in compliance with Noble Roman’s Bylaws and therefore, the nomination would not be considered as valid. because BT Brands’ and Mr. Copperud’s shares were held in brokerage accounts in “street name” rather than in certificate form under a separate listing on the Transfer Agent‘s shareholder list. Preliminary voting results show that steps to disqualify Mr. Copperud frustrating the shareholders’ overwhelming desire to inject fresh ideas onto the board have not damped the shareholders’ desire to cthank hoose Mr. Copperud to replace Mr. Mobley. As stated publicly, BT Brands expects to continue investigating, including seeking documents required to be produced under Indiana law, NROM’s actions and exploring all available remedies under Indiana and Federal law.
