PVH Insiders Sell US$2.4m Of Stock, Possibly Signalling Caution

Many PVH Corp. (NYSE:PVH) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

The Last 12 Months Of Insider Transactions At PVH

Over the last year, we can see that the biggest insider sale was by the insider, Julie Fuller, for US$1.6m worth of shares, at about US$109 per share. So we know that an insider sold shares at around the present share price of US$103. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insiders At PVH Have Sold Stock Recently

The last three months saw significant insider selling at PVH. Specifically, insider James Holmes ditched US$325k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of PVH

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that PVH insiders own 0.5% of the company, worth about US$32m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. On the plus side, PVH makes money, and is growing profits. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration.
