We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So before you buy or sell Soup Restaurant Group Limited (SGX:5KI), you may well want to know whether insiders have been buying or selling.
What Is Insider Selling?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

In the last twelve months, the biggest single sale by an insider was when the Executive Director, Khek Koon Then, sold S$90k worth of shares at a price of S$0.09 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of S$0.094. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 3.3% of Khek Koon Then's holding. The only individual insider seller over the last year was Khek Koon Then. Notably Khek Koon Then was also the biggest buyer, having purchased S$88k worth of shares.

Insider Ownership of Soup Restaurant Group
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Soup Restaurant Group insiders own about S$21m worth of shares (which is 80% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
