PeterLabs Holdings Berhad (KLSE:PLABS) completed the acquisition of 60% stake in THYE ON TONG TRADING SDN BHD from Datuk Loh Saw Foong and Datin Lin Ching Yein. PeterLabs Holdings Berhad (KLSE:PLABS) signed a conditional share sale agreement to acquire 60% stake in THYE ON TONG TRADING SDN BHD from Datuk Loh Saw Foong and Datin Lin Ching Yein for MYR 14.5 million on July 22, 2020. The consideration will be paid in MYR 3 million cash and 39 million shares of PeterLabs. Directors of THYE ON, Datuk Loh and Datin Lin will sell 30% stake each and will receive equal consideration of MYR 1.5 million in cash and 19.5 million shares each. As a result of the transaction Datuk Loh Saw and Datin Lin Ching will hold 18% stake each in THYE ON TONG. 10% of the Purchase Consideration amounting to MYR 1.08 million in cash shall be paid to the Datuk and Datin in equal proportions on the date of the agreement, the remaining cash consideration of MYR 1.92 million shall be paid to Datuk and Datin in equal proportions on the completion date, an aggregate of 25.5 million consideration shares shall be issued and allotted to the Datuk and Datin in equal proportions on the completion Date. The remaining of 13.5 million consideration shares shall be issued to Pacific Trustees Berhad, the security trustee jointly appointed by the PeterLabs and the Datuk and Datin on the completion date and transferred by the Trustee to the Vendors in equal proportions in the manner as set. The Retained Consideration Shares shall be released to the Vendors in 2 tranches by the Trustee. Upon finalization of THYE ON TONG’s audited financial statements for the FYE 2021, the parties agree that the company shall within 14 business days from the date of filing of THYE ON TONG’s financial statements for the FYE 2021 and second tranche upon finalization of audited financial statements for the FYE 2022. The Cash Consideration shall be funded via the proceeds raised from a proposed private placement undertaken by the Company, announced on July 13, 2020 and / or internally generated funds of the PeterLabs. The Purchase Consideration was arrived at on a “willing-buyer willing-seller” basis based on the price to earnings multiple (“PE Multiple”) of 8 times. For the year ended December 31, 2019, THYE ON TONG recorded Revenue of MYR 50.03 million, profit after tax and Net assets of MYR 0.58 million and MYR 5.70 million respectively.
The transaction is conditional on legal due diligence to be conducted on THYE ON. The approval-in-principle of Bursa Securities for the listing of and quotation for the completion consideration shares and retained consideration shares on the ACE Market of Bursa Securities. The execution of sale and purchase agreements for the sale of the properties to Datuk Loh Saw Foong and Datin Lin Ching Yein and/or such investment holding company, execution of executive service agreement for a period of 5 years between Datuk Loh Saw Foong and THYE ON TONG, execution of escrow agreement, approval of shareholders of PeterLabs, consents or approvals as may be necessary from any governmental or regulatory body or competent authority, financiers, brand principals or third-party. As of September 4, 2020, Bursa Malaysia Securities Berhad approved the listing and quotation of 39 million shares to be issued pursuant to the transaction. Subject to fulfilment of the conditions Precedent and the terms and conditions of the agreement, the completion will take place on 14 days from the date the agreement becomes unconditional unless the parties agree otherwise in writing. The transaction is expected to be closed by the 4th quarter of 2020. As on September 7, 2020, the board of directors of PeterLabs Holdings recommends the shareholders to vote in favour of the acquisition. The transaction will not have any immediate effect on the consolidated earnings and EPS of the PeterLabs for the FYE 2019.
