Ecomate Holdings Berhad (KLSE:ECOMATE) entered into a conditional share and purchase agreement to acquire 60% stake in Progressive Computer Systems Sdn. Bhd. from Law Seng Peng for MYR 8.4 million. Ecomate Holdings Berhad (KLSE:ECOMATE) entered into a conditional share and purchase agreement to acquire 60% stake in Progressive Computer Systems Sdn. Bhd. from Law Seng Peng for MYR 8.4 million on June 6, 2025. As part of the acquisition, Ecomate Holdings will acquire 0.6 million shares in Progressive Computer Systems Sdn. Bhd. Upon completion, Law Seng Peng will retain the remaining 40% stake in Progressive Computer Systems Sdn. Bhd. As part of the consideration, MYR 8.4 million will be paid in cash, out of which, MYR 0.1 million was paid as Earnest deposit by Ecomate to Law Seng Peng on April 4, 2025. Ecomate Holdings shall make payment of MYR 0.74 million as the balance deposit for the Proposed Acquisition to Law Seng Peng within 14 business days from the date of SPA and the remaining MYR 7.6 million shall be paid within 30 days upon the fulfilment or satisfaction of the conditions precedent of the SPA. As a consequence to the SPA, Ecomate Holdings, Law Seng Peng and PCS will enter into a shareholders’ agreement (“SHA”) upon completion of the SPA to regulate the affairs of PCS and govern the relationship of the shareholders of PCS. The transaction will be financed via internally-generated funds.
For the period ending December 31, 2024, Progressive Computer Systems Sdn. Bhd. reported profit after tax of MYR 2 million. and net assets of MYR 1.2 million.
