Do Insiders Own Lots Of Shares In Unirita Inc. (TYO:3800)?

If you want to know who really controls Unirita Inc. (TYO:3800), then you'll have to look at the makeup of its share registry. What Does The Institutional Ownership Tell Us About Unirita?

Institutions typically measure themselves against a benchmark when reporting to their own investors, so they often become more enthusiastic about a stock once it's included in a major index. We would expect most companies to have some institutions on the register, especially if they are growing.

As you can see, institutional investors have a fair amount of stake in Unirita. This implies the analysts working for those institutions have looked at the stock and they like it. But just like anyone else, they could be wrong. When multiple institutions own a stock, there's always a risk that they are in a 'crowded trade'. When such a trade goes wrong, multiple parties may compete to sell stock fast. This risk is higher in a company without a history of growth. We note that hedge funds don't have a meaningful investment in Unirita. Beacon Group is currently the largest shareholder, with 11% of shares outstanding. With 5.3% and 4.9% of the shares outstanding respectively, Unirita Inc., Employees' Shareholding Association and MUFG Bank, Ltd.,Investment Banking Arm are the second and third largest shareholders. In addition, we found that Hiroyuki Kitano, the CEO has 0.5% of the shares allocated to his name

A deeper look at our ownership data shows that the top 23 shareholders collectively hold less than half of the register, suggesting a large group of small holders where no single shareholder has a majority.

Researching institutional ownership is a good way to gauge and filter a stock's expected performance. The same can be achieved by studying analyst sentiments. As far I can tell there isn't analyst coverage of the company, so it is probably flying under the radar.

Insider Ownership Of Unirita

The definition of company insiders can be subjective and does vary between jurisdictions. Our data reflects individual insiders, capturing board members at the very least. Management ultimately answers to the board. However, it is not uncommon for managers to be executive board members, especially if they are a founder or the CEO.

I generally consider insider ownership to be a good thing. However, on some occasions it makes it more difficult for other shareholders to hold the board accountable for decisions.

I can report that insiders do own shares in Unirita Inc.. In their own names, insiders own JP¥954m worth of stock in the JP¥15b company. Some would say this shows alignment of interests between shareholders and the board, though I generally prefer to see bigger insider holdings. But it might be worth checking if those insiders have been selling.

General Public Ownership

The general public, mostly retail investors, hold a substantial 51% stake in Unirita, suggesting it is a fairly popular stock. This size of ownership gives retail investors collective power. They can and probably do influence decisions on executive compensation, dividend policies and proposed business acquisitions.

Private Company Ownership

We can see that Private Companies own 17%, of the shares on issue. It might be worth looking deeper into this. If related parties, such as insiders, have an interest in one of these private companies, that should be disclosed in the annual report. Private companies may also have a strategic interest in the company.

Public Company Ownership

Public companies currently own 7.4% of Unirita stock. We can't be certain but it is quite possible this is a strategic stake. The businesses may be similar, or work together.
