Saccheria F.lli Franceschetti Spa signed a framework agreement to acquire Plastilux Srl for EUR 1.5 million on June 24, 2026. The acquisition will be completedin two phases. Within 20 days of signing the SPA, Saccheria F.lli Franceschetti will take over 86.25% of Plastilux's capital for EUR1.3 million entirely in cash. The remaining 13.75% will be purchased on Dec. 31, 2029 through a put and call option mechanism, for a minimum value of EUR209,000 and a maximum of EUR250,800, linked to an earn-out on future performance. Part of the consideration will be paid through treasury shares subject to a six-month lock-up.
