Kingspan Group plc (ISE:KRX) entered into an agreement to acquire BMC Manufacturing Ltd. for €900 million. Kingspan Group plc (ISE:KRX) entered into an agreement to acquire BMC Manufacturing Ltd. for €900 million on August 11, 2026. Under the terms of the agreement, the initial consideration for the shares will be satisfied by €600 million in cash and €250 million new shares in Kingspan. Additionally, BMC Manufacturing will also receive potential deferred consideration of up to €50 million contingent on achievement of significant profit targets. The cash consideration will be fully funded from Kingspan's existing credit facilities.
The acquisition is conditional on regulatory clearance, and is expected to complete in Q4 2026. The transaction is expected to be earnings, margin and ROCE accretive in year 1.

The offer of SEK 160 in cash per share comes after in September Kingspan increased its stake in Nordic Waterproofing to 30.9% by buying 1.65 million at the same price.
