BExcellent Group Holdings Limited Provides Unaudited Consolidated Earnings Guidance for the Ten Months Ended 31 May 2026 BExcellent Group Holdings Limited provided unaudited consolidated earnings guidance for the ten months ended 31 May 2026. For the period, the company expects consolidated profit attributable to the owners of the of approximately HKD 12.9 million as compared to a loss attributable to owners of the Company of approximately HKD 11.2 million for the ten months ended 31 May 2025, representing a turnaround of approximately HKD 24.1 million. The loss for the ten months ended 31 May 2025 was primarily attributable to (i) a significant expansion of the company's professional teaching and administrative team to enhance educational quality and operational capacity, which led to increased staff-related costs; (ii) significant investment in research and development for proprietary curriculum and bespoke learning materials of international curricula and assessments to ensure academic excellence and a competitive edge; (iii) considerable expenditures in targeted marketing to strengthen the company's brand and deepen market penetration in Chinese Mainland; and (iv) losses on disposal of financial assets at fair value through profit or loss. Building on the positive momentum reported in the company's interim results for the six months ended 31 January 2026, the Group has sustained its revenue growth trajectory and continued to deliver positive operational performance during the subsequent four-month period. The primary reasons for the turnaround to profit for the ten months ended 31 May 2026 were the continuation of strong operational traction and revenue growth gradually being realized from the foundational investments made in prior periods. Key contributors include (i) a prominent increase in student enrolments in the company's partner schools that demand the company's school services in Chinese Mainland, reflecting the sustained demand for HKDSE-related education services; (ii) robust growth in revenue from the company's ancillary education services and products; and (iii) further revenue contribution from the company's private secondary day schools as well as the private supplementary secondary school education services during the four months ended 31 May 2026. This performance demonstrates the successful scaling of the company's operations and the effective monetization of the company's enhanced teaching resources and program offerings, consistent with the trends observed in the first half of the financial year ending 31 July 2026. BExcellent Group Holdings Limited Announces Board and Committees Changes The board of directors of BExcellent Group Holdings Limited announced the following changes in the composition of the Board and the committees of the Board: Professor Wong Roderick Sue Cheun has tendered his resignation as an independent non-executive Director with effect from 1 July 2024 .Professor Wong has resigned to embrace a peaceful retirement as he is approaching the age of 80 years old. The Board following Professor Wong's resignation, Mr. Tai Kwok Leung, Alexander (Mr. Tai) has been appointed as an independent non-executive Director with effect from the Effective Date. Mr. Tai, aged 66, graduated from Victoria University of Wellington in New Zealand with a degree in Bachelor of Commerce and Administration in 1982. He then became an associate member of the Hong Kong Institute of Certified Public Accountants and CPA Australia. Mr. Tai has extensive accountancy, corporate finance and investment experience in Hong Kong and overseas. Mr. Tai is licensed under the Securities and Futures Ordinance to conduct Type 1 (dealing in securities), Type 4 (advising on securities) and Type 9 (asset management) regulated activities. Mr. Tai is currently an independent non-executive director of G & M Holdings Limited, Shengjing Bank Co. Ltd. and China Star Entertainment Limited which are listed on the Main Board of the Stock Exchange, and is also an executive director of Finet Group Limited listed on GEM of the Stock Exchange. He was also an independent non-executive director of Jiayuan International Group Limited (in liquidation) ("Jiayuan") from 12 February 2016 to 30 June 2022. Mr. Tai was also an independent non-executive director of AAG Energy Holdings Limited from October 2018 to 11 August 2023. Mr. Tai was also a director of VMS Securities Limited till his retirement from office on 29 December 2023, and was a managing director and the head of Corporate Finance Department of Investec Capital Asia Limited till July 2017. Jiayuan is a limited liability company incorporated in Cayman Islands whose shares are listed on the Main Board of the Stock Exchange. Jiayuan's principal business concerns property development including residential and commercial complexes. Jiayuan was served with a winding up petition on 6 September 2022, and ordered to be wound up by the High Court of The Hong Kong Special Administrative Region on 2 May 2023. Upon application by the provisional liquidator, joint and several liquidators were subsequently appointed of Jiayuan on 3 January 2024. For further information on the winding-up of Jiayuan, please refer to the announcements of Jiayuan published on the Stock Exchange's website including that dated 10 January 2024.
