How Much Are GRC International Group plc (LON:GRC) Insiders Taking Off The Table?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we'll take a look at whether insiders have been buying or selling shares in GRC International Group plc (LON:GRC).

Do Insider Transactions Matter?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, rules govern insider transactions, and certain disclosures are required.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

GRC International Group Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief Information Officer & Executive Director, Neil Acworth, sold UK£71k worth of shares at a price of UK£0.20 per share. That means that even when the share price was below the current price of UK£0.22, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 22% of Neil Acworth's holding. The only individual insider seller over the last year was Neil Acworth.

Insiders at GRC International Group Have Sold Stock Recently

The last three months saw significant insider selling at GRC International Group. In total, Chief Information Officer & Executive Director Neil Acworth dumped UK£71k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that GRC International Group insiders own 59% of the company, worth about UK£13m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
