Caracal Gold Plc announced that it has received $1 million in funding from Gathoni Muchai Investments Limited and other investors Caracal Gold Plc announced a convertible unsecured loan facility for gross proceeds of $1,000,000 on July 3, 2025. The transaction included participation from a group of lenders comprising existing German-based financiers, Gathoni Muchai Investments Limited and its clients. The loan carry interest rate of 10% per annum, accrued and payable in full on the maturity date. The loan carries a term of 12 months from the resumption of trading on the London Stock Exchange. The loan is convertible into new ordinary shares at any time prior to maturity at a conversion price of $0.003 per share. Caracal Gold plc Provides Its Mineral Resource Estimate for Its Gold Projects Located in Kenya and Tanzania Caracal Gold Plc provided its Mineral Resource Estimate for its gold projects located in Kenya and Tanzania. The Mineral Resource Estimate has been completed in accordance with the Australasian Joint Ore Reserves Committee Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves 2012. Over the past 12 months, there has been no significant exploration or mining activities conducted by the Company and no updates have been made to the Mineral Resource Statement that was previously released in an RNS dated 13 July 2023. The Group Mineral Resource Estimate has been signed off by the Company's Interim-Exploration Manager, who previously oversaw the exploration and resource drilling programs completed by the Company in 2022 and has reviewed the previous Group Mineral Resource Estimate prepared by Mr. Franck Bizouerne, P.Geo., the former Group Mineral Resource Manager and Competent Person of the Company. Caracal Gold plc Announces Board Appointments Caracal Gold PLC announced further key strengthening of its Board of Directors, with a number of immediate appointments. The Company is pleased to announced the appointment of Ms. Noreen Kidunduhu as its new Independent Non-Executive Chair and the appointments of Mr. Kevin Warrington, Mr. Martin Westerman, Ms Hannah Wang'ombe, and Mr. Edward Ruheni, each as Independent Non-Executive Directors. As announced on 31 March 2025, the new appointments are being made as the Company progresses its immediate goal to address its outstanding obligations in Kenya to key stakeholders and the community at the Kilimapesa Gold Mine, to recommence gold mining operations at the Kilimapesa Gold Mine, and to also recapitalise the Company's balance sheet ahead of a planned resumption in trading of the Company's securities on the London Stock Exchange. These appointments are in addition to Mr. Jason Brewer's recent appointment as an Executive Director of the Company. Ms. Kidunduhu, is based in Kenya and is the founder of a boutique law firm specialising in legal services for the energy, extractives, and infrastructure sectors in emerging markets. She holds a Master's in International Energy and Natural Resources Law from the University of Dundee, with academic work focused on Africa's energy transition and the role of minerals and metals. Ms. Kidunduhu currently serves in several leadership and advisory roles, including as Chair of the Association for Women in Energy and Extractives, Africa Regional Board Member of the Global Alliance of Impact Lawyers and member of the International Chamber of Commerce's Alternative Dispute Resolution Commission (Kenya) as well as its Working Group on Environmental Goods and Services. Mr. Westerman is based in South Africa and is currently the Chief Operating Officer of Marula Mining plc. He has over 25 years' experience in finance and the mining industry throughout Africa. He holds a Master of Science in Finance and Management and is a Certified Professional Forensic Accountant and also a certified financial modelling valuation analyst. He held various positions as Chief Financial Officer in various publicly listed and private companies in Australia, the United Kingdom and Southern Africa. Mr. Westerman has spent over a decade specialising in corporate restructuring and recapitalization, International Financial Reporting Standards, financial management, corporate governance and regulatory compliance and reporting. His work in this area has focused on debt and equity restructuring, stabilising operations, turnaround strategies and achieving longer-term sustainable growth. Mr. Warrington is based in the United Kingdom and has over 15 years of experience in business administration and operational management, with a strong focus on project management, corporate governance and strategic oversight. In his role, he will work closely with the Board of Directors as a representative of UK-based shareholders. Mr. Ruheni is a Kenyan national and is currently a non-executive director of AIM Market listed Shuka Minerals plc, private Tanzanian mining and exploration company Takela Mining Tanzania Limited and also General Manager Operations East Africa for Marula Mining Plc. He has over 10 years of experience in project management and holds a CPA(K) certification and a degree in Commerce and Finance. Ms Wang'ombe has over 10 years' experience in stakeholder engagement, relationship building, crisis management, and public policy processes at the Kenya Institute for Public Policy Research and Analysis, where she worked as a Researcher and Head of Strategy and Planning. She was also the CEO at the Association of Women in Energy and Extractives in Kenya. She is currently the Natural Resources Program Lead at Oxfam in Kenya. Hannah also serves as a Non- Executive Director of Marula Mining Plc. Caracal Gold plc Provides an Update Following the Recommencement of Production At the Milling/CIl Plant At Kilimapesa At the Beginning of February Caracal Gold Plc provided an update following the recommencement of production at the Milling/CIL plant at Kilimapesa at the beginning of February. Open cast mining continued in pit 3B with a total of 11,400 tonnes mined at an average grade of 1.82 g/t gold (Au) with a strip ratio of ore to waste of 2.7 to 1; The carbon in leach (CIL) plant was recommissioned after the mill relining in January. Feed into the CIL circuit was 7,350 tonnes for the month of February at an average feed grade of 1.71 g/t. The gold recovered totalled 9,077 grams with a large portion of gold remaining in the process to build required process inventory; Various recommissioning challenges faced and solved included power outages from the grid supply and stress testing of the feed rate which resulted in misplaced grits reporting into the CIL circuit; Pre-screening of the coarse ore fraction out of the feed improved the grade to the Milling/Cil plant with the oversize material used as feed to the heap leach plant, thereby progressively improving ongoing flow sheet optimisation. Audit progress: PKF Littlejohn and PKF East Africa are engaged to complete the group audit for the year ended 30 June 2023. The Company has a dedicated team in the UK and Kenya working to complete the audit. The audit work is in the final phase and the Company will publish the audited results as soon as they are available, together with the unaudited interim results for the six month period ended 31 December 2023. Strengthening of management team: Mr. Stephanus de Kock has joined as the Caracal/Kilimapesa team as general manager of the Kilimapesa mine. Stephanus is an experienced mining professional with over 22 years' experience in project development and operations in Africa. The Finance team in Kenya has been strengthened with the appointment of Ms. Stella Nguchu. Stella is a chartered accountant with over 10 years of experience. Caracal Gold plc Announces the Completion of Phase 1 of the Work Program Caracal Gold plc announced the completion of Phase 1 of the work program which was to review and update the geological model and mining plan for the Kilimapesa Hill deposit. The work included the review of the geological model, mineralization model, grade models, producing the Whittle optimisations, pit designs and a project evaluation. This is an important milestone in the Kilimapesa expansion project financing process. Minopex Advisory (Pty) Ltd, a DRA Global Group Company, are carrying out the work program on behalf of Caracal. The scope of work/phases are as follows: Phase 1: 3-year mine plan to support Kilimapesa expansion financing; Phase 2: Full remodeling of Kilimapesa Hill deposit including additional drilling; Phase 3: Update the MRE (JORC) for Kilimapesa Hill deposit; Phase 4: Completion of 10 year mine plan for Kilimapesa Hill deposits. Highlights from the Phase 1 work are as follows: Independent Technical report providing 36 month mine plan for Kilimapes a Hill deposit; 49,155oz forecast production; AISC USD 1,055 per oz; Gross Revenue + USD 83.5 million; Total Free Cash + USD 31.7 million; Gold Price USD 1.700 per oz. The Phase 1 mining plan has 2,427,279t of ore mined over the 36 month period at an average grade of 1.06g/t. 529,756t at an average grade of 1.,8g/t are processed through the Milling/CIL plant with 1,897,524t at an average grade of 0.86g/t processed by the Heap Leach plant. The plan assumes a 75% recovery by the Milling/CIL Plant for 23,002oz recovered and a 50% recovery through the Heap Leach plant for a total of 26,153oz recovered. Combined Milling/CIL and Heap Leach production over the 36 months is 49,155oz. The current capital cost to complete the Kilimapesa expansion projects is approximately USD 10.5 million based on the results from the Phase 1 work. A reduction in the capital is expected and this plan will now be costed and an updated capital cost for the expansion project calculated and announced. This capital cost, along with the revised operating costs, will be used to update the financial model and agree the terms of the expansion funding.
