PHSC plc (LON:PHSC) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At PHSC

Over the last year, we can see that the biggest insider sale was by the Group CEO & Director, Stephen King, for UK£51k worth of shares, at about UK£0.26 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of UK£0.23. So it may not shed much light on insider confidence at current levels.

Does PHSC Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. PHSC insiders own 45% of the company, currently worth about UK£1.1m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

What Might The Insider Transactions At PHSC Tell Us?

It doesn't really mean much that no insider has traded PHSC shares in the last quarter. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the PHSC insiders selling. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
