CLP Holdings Limited Announces Retirement of Sir Roderick Ian Eddington as Independent Non-Executive Director and Member of the Finance & General Committee, Effect from 9 May 2025 CLP Holdings Limited announced the retirement of Sir Roderick Ian Eddington as an Independent Non-executive Director and Member of the Finance & General Committee of the Company with effect from 9 May 2025. At the conclusion of the coming 2025 Annual General Meeting ("AGM") of the Company to be held on 9 May 2025, Sir Roderick Ian Eddington will retire as an Independent Non-executive Director and a Member of the Finance & General Committee of the Company. Sir Rod Eddington is subject to retirement by rotation at the 2025 AGM, he will not be seeking re- election at the 2025 AGM and will therefore retire at the conclusion of the 2025 AGM. Sir Rod Eddington has served on the CLP Holdings Board since January 2006. After having served on the Board for almost 20 years, Sir Rod Eddington has confirmed to the Company that, pursuant to the retirement age guideline of the CLP Board Diversity Policy, he has decided not to seek re-election at the 2025 AGM and will step down from the CLP Holdings Board. Separately, with Sir Rod Eddington's extensive experience and understanding of CLP's operations and his familiarity with the key markets that CLP operates in, Sir Rod Eddington will be appointed as a Senior Advisor to the Chairman of the Company. For the services rendered in his new capacity, Sir Rod Eddington will be remunerated on the basis that would commensurate with the hourly rates applicable for the Company's Non-executive Directors. Sir Rod Eddington has confirmed that he has no disagreement with the Board and that he is not aware of any matter in relation to his retirement as an Independent Non-executive Director of the Company that needs to be brought to the attention of the shareholders of the Company. CLP Holdings Limited Announces the Appointment of Mr. Ling Michael Hin Yau as Joint Company Secretary to Take Effect from 1 January 2023 CLP Holdings Limited announced the appointment of Mr. Ling Michael Hin Yau as a Joint Company Secretary to take effect from 1 January 2023. Mr. David John Simmonds will continue to act as the Chief Strategy, Sustainability and Governance Officer as well as the Joint Company Secretary, together with Mr. Michael Ling as the other Joint Company Secretary. Mr. Michael Ling has been the Deputy Company Secretary of the Company since 2016 and oversees the day to day functions of CLP Group corporate secretarial and works closely with the Board of Directors of the Company and the Board Committees. Prior to taking up this position in 2016, Mr. Ling was the legal counsel on the international team of CLP Group Legal Affairs for over four years. He also has extensive private practice experience in corporate transactions and advisory work including public and private Mergers and Acquisitions and capital markets work in Hong Kong, London and Beijing. Mr. Ling holds a Bachelor of Laws and Bachelor of Commerce from the Australian National University and has completed the IMD's Applied Leadership Program and the FT Non-Executive Director Programme. He is a Fellow of Salzburg Global Seminar. He is also a Fellow Member of both The Chartered Governance Institute and The Hong Kong Chartered Governance Institute (HKCGI) (formerly known as The Hong Kong Institute of Chartered Secretaries), and awarded with the dual designations of Chartered Secretary and Chartered Governance Professional. CLP Holdings Announces Executive Changes CLP Holdings Limited announced the following: the retirement of Mr. William Mocatta as a Non-executive Director and Vice Chairman of CLP Holdings Board and as a member of various Board Committees with effect from 31 December 2022; the appointment of Mrs. Yuen So Siu Mai Betty as a Non-executive Director of the Company with effect from 1 January 2023; and with the retirement of Mr. Mocatta as the Chairman and Member of the Finance & General Committee, Mr. Andrew Brander, a Non-executive Director of the Company, will be appointed to succeed Mr. Mocatta in this position as Chair of this Committee effective 1 January 2023. Mr. Mocatta will be retiring from Sir Elly Kadoorie & Sons Limited in March 2023, Sir Elly Kadoorie & Sons Limited is a company associated with the Company's substantial shareholders. On 31 December 2022, Mr. Mocatta will retire from the CLP Holdings Board and the Board Committees that he serves on. Mr. Mocatta has confirmed that he has no disagreement with the Board and that he is not aware of any matter in relation to his retirement from the CLP Holdings Board that needs to be brought to the attention of the shareholders of the Company. The Chairman and the Board would like to thank Mr. Mocatta for his dedicated service of many years to the Board and Board Committees that he has served on, and for his leadership and invaluable contributions to the Company and its shareholders. Appointment of Mrs. Yuen So Siu Mai Betty: The Company announces the appointment of Mrs. Yuen So Siu Mai Betty as a Non-executive Director of the Company to take effect from 1 January 2023 and on the same day, Mrs. Yuen will join Sir Elly Kadoorie & Sons Limited. Mrs. Yuen is currently a Member of the Senior Management of CLP Holdings and is the Group Director & Vice Chairman of CLP Power Hong Kong Limited and a Member of the CLP Holdings Finance & General Committee. With her appointment as a Non-executive Director of CLP Holdings, she will step down from all executive duties of CLP Holdings including the directorships at the subsidiary and affiliated companies' level and will cease to be a Member of the Senior Management of CLP Holdings on 31 December 2022. Mrs. Yuen will be appointed as the Chairman of CLP Power Hong Kong Limited and Castle Peak Power Company Limited as of 1 January 2023 and will remain as a Member of the CLP Holdings Finance & General Committee. Mrs. Yuen, JP, aged 65, holds a Bachelor of Commerce from the University of Toronto and is a Chartered Professional Accountant. Mrs. Yuen began her career in public accounting in Canada and worked for ExxonMobil for 13 years before joining CLP in 1999. She was the Managing Director of CLP Power Hong Kong between 2002 and 2009, with overall responsibility for the operations of the Hong Kong business. Mrs. Yuen was appointed as the Vice Chairman of CLP Power Hong Kong in 2010, with a primary focus on the strategic direction of the Group's electricity business in Hong Kong and China. CDPQ Infrastructures Asia II Pte. Ltd agreed to acquire an additional 10% stake in Apraava Energy Private Limited from CLP Holdings Limited (SEHK:2) for INR 6.6 billion. CDPQ Infrastructures Asia II Pte. Ltd agreed to acquire an additional 10% stake in Apraava Energy Private Limited from CLP Holdings Limited (SEHK:2) for INR 6.6 billion on July 12, 2022. Upon Completion, CDPQ Infrastructures Asia II will become a 50% shareholder of Apraava Energy. In the year ending on March 31, 2022, Apraava Energy generated profit before tax of INR 2 billion, profit after tax of INR 1.3 billion, had total assets of approximately INR 160 billion and net assets of INR 81.4 billion. Completion of the transaction is subject to the fulfilment of various conditions precedent including regulatory approvals. For the period, it is expected that the Group will record a consolidated loss for the six months ending 30 June 2022. The Group's accounting earnings have been adversely affected by the challenging and extreme energy markets conditions in Australia. Based on the Group's unaudited consolidated management accounts for the five months ended 31 May 2022, the unfavourable fair value loss (after tax) from EnergyAustralia was approximately HKD 7.2 billion which takes the consolidated Operating Earnings of the Group to a loss of approximately HKD 3.7 billion. Outside of Australia, the rest of the Group's business segment earnings for the five months ended 31 May 2022 was broadly in line with the Group's performance for the same period last year.
