DoJ Orders Keysight to Sell Assets to Finalise Spirent Deal The US Department of Justice (DoJ) has ordered US electronic design and test solutions specialist Keysight Technologies, Inc. (NYSE:KEYS) to sell key assets of Spirent Communications plc (LSE:SPT) before completing the GBP 1.16 billion (USD 1.57 billion /EUR 1.38 billion) purchase of the UK telecommunications testing company. The DoJ said on June 2, 2025 that its antitrust division has filed a lawsuit to block the merger and has simultaneously submitted a proposed settlement requiring divestiture to resolve competition concerns. To maintain market competitiveness, Keysight must divest Spirent’s high-speed ethernet testing, network security testing, and RF channel emulation units, accounting for roughly 40% of Spirent’s revenue, to rival firm Viavi Solutions Inc. These businesses are vital for sectors such as cloud computing and telecom, which rely on advanced testing tools, according to the statement. Assistant attorney general Abigail Slater said the agreement “ensures continued innovation and fair pricing” in the communications testing market.
