Neurothera Labs Announces Initiation of Phase IIb Clinical Trial at Hannover Medical School in Germany for Innovative Treatment of Tourette Syndrome NeuroThera Labs announced the initiation of its Phase IIb clinical trial site at Hannover Medical School, Hanover, Germany, for SCI-110, its proprietary cannabinoid-based treatment candidate for Tourette Syndrome in adults. The trial, which previously received regulatory clearance from Germany’s Federal Institute for Drugs and Medical Devices and MHH's ethics committee, is now advancing towards the next stage at Hannover Medical School, one of the key clinical sites of the study. SCI-110 combines dronabinol with the endocannabinoid-like palmitoylethanolamide in an innovative one dosage form designed to reduce tics and comorbid symptoms in adults with TS while minimizing side effects. In addition to Hannover Medical School, the trial will be conducted at Yale Child Study Center in New Haven, Connecticut, and Tel Aviv Sourasky Medical Center in Tel Aviv, Israel. Building on the positive safety and efficacy results from the Phase IIa study, which showed an average tic reduction of 21% across the entire participants sample, as measured by the gold standard, Yale Global Tic Severity Scale Total Tic Score scale, the Phase IIb study is a randomized, double-blind, placebo-controlled, cross-over trial designed to evaluate the efficacy, safety, and tolerability of daily oral SCI-110. Patients aged 18-65 will be randomized to receive either SCI-110 or placebo, with the primary efficacy endpoint being the change in tic severity measured by the Yale Global Tic Severity Scale at weeks 12 and 26 compared to the baseline. Neurothera Labs Inc. announced that it expects to receive CAD 5.00175 million in funding NeuroThera Labs Inc. announced a non-brokered private placement of up to 37,050,000 units at an issue price of CAD 0.135 for gross proceeds of CAD 5,001,750 on June 30, 2026. Each Unit will be comprised of one common share in the capital of the Company and one transferable common share purchase warrant entitling the holder thereof to acquire one common share in the capital of the Company at a price of CAD 0.18 per Unit Warrant Share for a period of 24 months from the date of issuance thereof. Certain insiders of the Company may acquire Offered Units in the Offering. The Unit Shares and Unit Warrants issued under the Offering will be subject to a statutory hold period expiring four months and one day from the date of issuance of such Offered Units. The Company may pay finder's fees on a portion of the Offering, subject to applicable securities legislation. Closing of the Offering is subject to approval of the TSX Venture Exchange. It is not anticipated that any new insiders will be created, nor that any change of control will occur, as a result of the Offering. Neurothera Labs Inc. (TSXV:NTLX) completed the acquisition of 54.01% stake in CliniQuantum Ltd. Neurothera Labs Inc. (TSXV:NTLX) entered into a definitive share purchase agreement to acquire 54.01% stake in CliniQuantum Ltd. for $9 million on March 9, 2026. In consideration for the Purchased Shares, the Company will issue an aggregate of 56,600,000 common shares in the capital of the Company (the "Consideration Shares") to the Selling Shareholders, representing an aggregate value of approximately $9.5 million based on the 20-day volume weighted average trading price of the Neurothera's common shares on the TSX Venture Exchange. In addition to the Consideration Shares, the Selling Shareholders may be entitled to receive earn-out payments of up to $2.5 million in the aggregate (the "Earn-Out Payments"), payable in cash and/or common shares of Neurothera at the sole discretion of Neurothera, contingent upon the achievement of the certain milestones, including $0.5 million for each of the first three patent applications filed by CliniQ with the United States Patent and Trademark Office or the European Patent Office, up to a maximum of $1.5 million in the aggregate; and an amount equal to 7.0% of any fundraising proceeds raised by Neurothera, up to a maximum of $1 million in the aggregate. The Earn-Out Payments, if any, are payable during the three-year period following the closing of the Transaction. Closing of the Transaction is expected to occur within 30 days following the submission of the application for the Israeli tax ruling to the Israeli Tax Authority, subject to TSXV approval and satisfaction or waiver of all closing conditions. As of May 27, 2026, the outside date for the completion of the transaction has been extended to June 1, 2026. On May 28, 2026, parties received a conditional regulatory approval from the TSX Venture Exchange.
