We wouldn't blame ReadCloud Limited (ASX:RCL) shareholders if they were a little worried about the fact that John Pollaers, a company insider, recently netted about AU$2.4m selling shares at an average price of AU$0.46. That diminished their holding by a very significant 100%, which arguably implies a strong desire to reallocate capital.

ReadCloud Insider Transactions Over The Last Year

Notably, that recent sale by John Pollaers is the biggest insider sale of ReadCloud shares that we've seen in the last year. That means that even when the share price was below the current price of AU$0.60, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 100% of John Pollaers's holding.

Does ReadCloud Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that ReadCloud insiders own 40% of the company, worth about AU$23m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
