Did Jayride Group Limited (ASX:JAY) Insiders Sell Shares?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Jayride Group Limited (ASX:JAY), you may well want to know whether insiders have been buying or selling.

What Is Insider Selling?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Jayride Group

Over the last year, we can see that the biggest insider sale was by the insider, Zhongyuan Lin, for AU$330k worth of shares, at about AU$0.13 per share. That means that even when the share price was below the current price of AU$0.15, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 39% of Zhongyuan Lin's holding. The only individual insider seller over the last year was Zhongyuan Lin.

Over the last year, we can see that insiders have bought 577.19k shares worth AU$125k. But they sold 3.85m shares for AU$439k. Zhongyuan Lin divested 3.85m shares over the last 12 months at an average price of AU$0.11. The chart below shows insider transactions (by companies and individuals) over the last year. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
