Solara Minerals Ltd (ASX:SLA) completed the acquisition of OD4 Tom Price Pty Ltd. Solara Minerals Ltd (ASX:SLA) agreed to acquire OD4 Tom Price Pty Ltd for AUD 0.7 million on July 21, 2025. Under the terms of the transaction, a cash consideration of AUD 0.15 million and 1.25 million common equity of Solara Minerals Ltd to be issued for common equity of OD4 Tom Price Pty Ltd at completion. Solara Minerals Ltd will pay an earnout/contingent payment common equity of 1.5 million Solara Minerals Ltd shares if Solara Minerals Ltd achieves a drilled mineralised intersection of not less than 20 CuEq% x interval in metres using a minimum cut-off grade of 0.5% CuEq% within the area of the tenements (as reported by Solara to the ASX in accordance with the JORC Code and the ASX Listing Rules) within three (3) years from the date of Completion.
The transaction is subject to approval by regulatory board / committee, approval of offer by acquirer shareholders and consummation of due diligence investigation. The expected completion of the transaction is targeted for the end of July 2025.
