Beforepay Group Insiders Made A Wise Decision By Selling AU$2.2m Worth Of Stock
Despite a 11% gain in Beforepay Group Limited's (ASX:B4P) stock price this week, shareholders shouldn't let up. The fact that insiders chose to dispose of AU$2.2m worth of stock in the past 12 months even though prices were relatively low could be indicative of some anticipated weakness.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.
Beforepay Group Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Co-Founder, Fang Guo, sold AU$1.8m worth of shares at a price of AU$1.37 per share. That means that an insider was selling shares at slightly below the current price (AU$2.02). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 33% of Fang Guo's holding. Fang Guo was the only individual insider to sell over the last year.
Fang Guo divested 1.82m shares over the last 12 months at an average price of AU$1.19. The chart below shows insider transactions (by companies and individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insiders At Beforepay Group Have Sold Stock Recently
Over the last three months, we've seen significant insider selling at Beforepay Group. In total, Co-Founder Fang Guo dumped AU$1.8m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.
Insider Ownership
Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. From our data, it seems that Beforepay Group insiders own 12% of the company, worth about AU$12m. But they may have an indirect interest through a corporate structure that we haven't picked up on. Whilst better than nothing, we're not overly impressed by these holdings.
So What Do The Beforepay Group Insider Transactions Indicate?
An insider hasn't bought Beforepay Group stock in the last three months, but there was some selling. Zooming out, the longer term picture doesn't give us much comfort. On the plus side, Beforepay Group makes money, and is growing profits. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. So we'd only buy after careful consideration. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. For example, Beforepay Group has 3 warning signs (and 1 which is a bit unpleasant) we think you should know about.
