Apotex Health Corp. (TSX:APTX) acquired remaining 70% stake in Talicia Holdings Inc. from RedHill Biopharma Ltd. (NasdaqCM:RDHL) for $53 million on August 31, 2026. The consideration consists of an upfront cash payment of $18 million and includes the potential for up to an additional $35 million in payments based on worldwide net sales milestones. Pursuant to the transaction, RedHill Biopharma Ltd. sold its 70% interest in the target. Apotex Health Corp., which previously held the remaining 30% interest following its acquisition of Cumberland Pharmaceuticals Inc.'s U.S. branded business, now holds 100% of Talicia Holdings Inc. As part of the agreement, RedHill Biopharma Ltd. agreed to a five-year non-compete covenant. In a related agreement, a subsidiary of RedHill entered into a Transition Services Agreement with Apotex to provide certain transition services for an initial period of six months, with an option for Apotex to extend for an additional three months. RedHill Biopharma Ltd. intends to use the proceeds from the divestment to fund its commercial business expansion, pursue new product opportunities, and accelerate its path toward operational profitability.
