RenX Enterprises Corp. Announces Appointment of James D. Burnham as Director of Growth and M&A, Effective July 9, 2026 RenX Enterprises Corp. announced that James D. Burnham, one of the co-founders of Resource Group US Holdings LLC, the operating subsidiary anchoring the Company’s Biomass Recycling segment, had been appointed the Director of Growth and M&A of the Company, effective July 9, 2026. Mr. Burnham brought more than 30 years of experience in the solid waste and environmental services industries, having begun his career at Browning-Ferris Industries Inc. As a co-founder of Resource Group, he helped establish the business that today operates the Company’s permitted 80+ acre organics processing facility in Myakka City, Florida, and since RenX’s acquisition of Resource Group in June 2025, he had advised the Company in a consulting capacity on business strategy, financial planning, and new business development. Since 2003, he had served as President of JDB Consulting Services Inc., advising clients across the solid waste industry on acquisitions, project development, permitting, and operational analysis. In his new role, Mr. Burnham will lead the Company’s growth initiatives, including the sourcing and evaluation of acquisition opportunities, project development, and commercial expansion across the Company’s Biomass Recycling and Logistics segments, supporting the buildout of RenX’s engineered soils and specialty growing media platform. RenX Enterprises Corp. Announces Resignation of James D. Burnham as Director, Effective July 1, 2026 RenX Enterprises Corp. reported that on July 1, 2026, James D. Burnham, a member of the Board of Directors of RenX Enterprises Corp., notified the Company of his decision to resign, effective as such date, from his position as a member of the Board. The resignation was not related to any disagreement with the Company on any matter relating to its operations, policies or practices. In connection with his resignation, effective July 1, 2026, the Company entered into an employment agreement with Mr. Burnham to employ Mr. Burnham as the Company's Director of Growth & M&A for a one-year term. Mr. Burnham has been providing services to the Company pursuant to an amended and restated consulting agreement, dated June 2, 2025, between the Company and JDB Consulting Services Inc., a company controlled by Mr. Burnham. The Burnham Consulting Agreement will be deemed terminated as of the Effective Date. Tristan Burnham, son of Mr. Burnham, is employed by the Company's subsidiary, Resource Group US Holdings LLC, as Vice President of Operations. Announcement • May 07
