Pinnacle Food Group Limited Announces Appointment of Martin Ngai Lam Cheung as Independent Director, Effective August 1, 2026 Pinnacle Food Group Limited announced the appointment of Mr. Martin Ngai Lam Cheung as an independent director of the Company, effective August 1, 2026. Mr. Cheung, 57, has extensive public company board, audit committee, corporate finance, accounting, reporting and compliance experience. He currently serves as an independent non-executive director and audit committee chair of China Development Bank International Investment Co. Ltd., New Provenance Everlasting Company Limited and Boyaa Interactive International Company Limited. Mr. Cheung previously served in director and audit committee chair roles with several Hong Kong-listed and Nasdaq-listed companies, including ATV Company Limited, Ninetowns Technology Internet Group, China Environmental Resources Group, Hong Long Holdings Ltd, Mascotte Holding Ltd, Silk Road Logistics Holdings Ltd. and China Huishan Dairy Holdings. From 2014 to 2022, Mr. Cheung served as Vice President and Chief Financial Officer of China Zenix Auto International Limited, where his responsibilities included public company listing compliance, corporate governance, financial reporting and investor relations. Earlier in his career, Mr. Cheung held senior corporate finance, capital markets and audit positions with Norstar Founders Group Limited, Grant Thornton Corporate Finance Limited, Japan Asia Securities Limited, Daiwa Securities SMBC Hong Kong Limited and Deloitte Touche Tohmatsu. Mr. Cheung holds a Master of Science in Investment Management from The Hong Kong University of Science and Technology, a Master of Accounting from Curtin University and a Bachelor of Social Sciences from The University of Hong Kong. He is a member of the American Institute of Certified Public Accountants and a CPA Australia member. The Board of Directors of the Company determined that Mr. Cheung is independent under Nasdaq Listing Rule 5605(a)(2), satisfies the additional independence requirements of Rule 10A-3 under the Securities Exchange Act of 1934, as amended, and meets the Company's corporate governance requirements. The Board further determined that Mr. Cheung qualifies as an "audit committee financial expert" within the meaning of the applicable rules of the U.S. Securities and Exchange Commission. Pinnacle Food Group Limited Announces Chief Financial Officer Changes, Effective June 1, 2026 Pinnacle Food Group Limited announced the dismissal of Wencai Pan as Chief Financial Officer and appointment of Dr. Yunhao Chen as Chief Financial Officer of the Company, both effective June 1, 2026. Dr. Chen has extensive public company finance, accounting, U.S. GAAP, SEC reporting and compliance experience. She served as Chief Financial Officer of Massimo Group from its initial public offering in May 2023 through January 2026 and as a director from April 2024 through January 2026, where she led that company through its initial public offering process in 2024, and directed and managed the company's financial reporting, investor relations, and capital market functions. From May 2017 to July 2023, Dr. Chen served as Chief Financial Officer of Dogness International Corporation, where she led the company through its initial public offering process in 2017 and directed and managed the company's financial reporting, investor relations, and capital market functions, and served as the Chief Executive Officer of its U.S. subsidiary from 2018 to 2023. Dr. Chen has extensive knowledge and experience with U.S. GAAP and SEC reporting and compliance requirements. As part of her professional experience, she served as an invited speaker at an SEC forum advocating for small public companies in 2025, successfully executed multiple public offerings for publicly traded companies, conducted analyses and research regarding a large amount of formal filings of SEC registrants, and served on the boards of several public companies. Dr. Chen holds a Ph.D. in Accounting and an MBA in Finance and MIS from the University of Minnesota, and a Bachelor of Economics degree from the University of International Business and Economics. From 2007 to 2014, she served as a faculty member at the University of Miami and Florida International University. Dr. Chen has served as an independent director of the Company since April 2025. In connection with her appointment as Chief Financial Officer, Dr. Chen will cease to serve as an independent director.
