Rosebank Industries plc (AIM:ROSE) completed the acquisition of MW Industries, Inc. from American Securities LLC.

Rosebank Industries plc (AIM:ROSE) agreed to acquire MW Industries, Inc. from American Securities LLC for an enterprise value of approximately $950 million on March 3, 2026. In a related transaction Rosebank Industries agreed to acquire CPM. The transaction reflects TEV/EBITDA multiple of 10x. For the period ending December 31, 2025, Sussex Wire, Inc. reported total revenue of $500 million and EBIT of $77 million. The transaction is subject to subject to antitrust regulations, approval of offer by acquirer shareholders and approval by regulatory board, completion of separate transaction and is expected to close in the second quarter of 2026. Rosebank Industries plc (AIM:ROSE) acquired CPM Holdings Inc. from unknown funds managed by American Securities LLC.

Rosebank Industries plc (AIM:ROSE) agreed to acquire CPM Holdings Inc. from unknown funds managed by American Securities LLC for approximately $2.3 billion on March 3, 2026. The consideration consists of cash payment of $2.1 billion and earnout of up to $200 million, subject to CPM achieving certain financial performance targets and is subject to customary adjustments, debt and cash-free basis. In a related transaction Rosebank Industries plc agreed to acquire MW Components. The Transaction will be financed through a fully underwritten institutional capital raise of approximately £1.9 billion. The transaction reflects TEV/EBITDA multiple of 12x. For the period ending September 30, 2025, CPM Holdings Inc. reported EBIT of $156 million. The transaction is subject to completion of separate transaction, subject to antitrust regulations, approval of offer by acquirer shareholders and approval by regulatory board / committee. The Transaction is expected to close in the second quarter of 2026.
