Pennpetro Energy plc Announces Successful Defence of Legal Proceedings Pennpetro Energy plc (PPP), the company focused on developing strategic energy projects, announces that the High Court of Justice, Business and Property Courts of England and Wales has dismissed all claims brought by Mr. Jesse Edwin White against the Company. The case was listed for hearing on May 18, 2026. No settlement was reached ahead of that hearing. The Company maintained its position and remained resolute in its commitment to contest the matter in Court. Mr. White paid £132,000 in November 2023 for 6 million shares in Pennpetro Energy plc, but the Company failed to register those shares in his name. On January 16, 2026, Mr. White issued a claim under section 125 of the Companies Act 2006 seeking rectification of the register to show him as the holder of those shares, together with declarations that he became entitled to them in November 2023 and consequential relief preventing the company from relying on shareholder resolutions passed while he was not on the register. On April 1, 2026, Mr. White applied for interim relief restraining the Company from holding any general meeting or giving effect to any prior resolutions pending determination of his entitlement to the shares. His primary aim was to prevent Pennpetro's forthcoming AGM on May 6, 2026 from proceeding. After the register was updated on April 7, 2026, Mr. White declined to withdraw either the Rectification Claim or the Injunction Application and filed a revised draft order on April 8, 2026 with the Court seeking to prevent the Company from issuing any shares in reliance on the December 2025 Resolution pending determination of the Rectification Claim. Both were dismissed. The Order now sealed is a public document and non-parties can obtain a copy from the court office, should they so wish. The Judge did not order costs in this case to the Company, despite all claims against it being dismissed, but suggested that Mr. White in future should ".if possible seek legal advice in relation to potential claims against the Company." The Company remains resolute to defend any claims brought against it and pursue costs and damages to the fullest extent, including, where appropriate, security for costs. Announcement • Apr 18
Pennpetro Energy PLC Announces Appointment of Grand Chief Ronald M. Derrickson as Non-Executive Co-Chairman Pennpetro Energy PLC announced the appointment of Grand Chief Ronald M. Derrickson as Non-Executive Co-Chairman to support the current Executive Chairman, Richard Spinks, in the Company's future development. This follows the announcement of September 25, 2025, where the Company confirmed RMD Group's right under the terms of the first CLN to appoint two directors to the Pennpetro board, and the appointment of Richard Spinks, the first of these appointments, is now augmented by Grand Chief Derrickson, the second RMD Group appointment. Grand Chief Derrickson is the Owner and President of RMD Group, and a leading, highly successful Indigenous entrepreneur known across Canada and the United States for his leadership in Indigenous economic development and protection of Indigenous Rights. After being elected Chief of Westbank First Nation in 1976, he served as Chief of the Westbank First Nation from 1976 to 1986 and from 1996 to 1998, taking his community from an indebted People with limited prospects to one of Canada's most successful Indigenous Bands, with an annual GDP of over c.$1billion today, and one of the fastest growing communities in British Columbia and Canada. Ron was honored by his peers and elected unanimously by the Union of BC Indian Chiefs in 2012 as Grand Chief for Life, in recognition of his service to his People. He has been a lifelong defender of the rights of Indigenous People and was responsible for succeeding in gaining forestry rights, Canada-wide for Indigenous Peoples where prior, there were none. His relationships are incredibly valuable when resources and Indigenous involvement are present too, through his involvement Pennpetro is evaluating unique opportunities and exploring new economic models for resource development in Canada. Ron is also an award-winning author, working on his seventh book to date, and a philanthropist providing among other valuable programs, scholarships, providing education to Indigenous students who otherwise would not enjoy the opportunities that some take for granted, reversing his own personal experiences as a young Indigenous man growing up. Mr. Derrickson's interest in the Company arises through his holdings in RMD Group, which has provided convertible loan note financing to the Company as announced on September 25, 2025, pursuant to which RMD Group holds the right to convert into 12,500,000 ordinary shares in the Company, subject to, inter alia, shareholder approval of resolutions to authorise the issue of such shares.
