HI Mobility Berhad (KLSE:HI) completed the acquisition of Handal BCM Sdn Bhd from Lim Han Weng, Bah Kim Lian and Liberal Option Sdn Bhd.

HI Mobility Berhad (KLSE:HI) entered into a conditional share agreement to acquire Handal BCM Sdn Bhd from Lim Han Weng, Bah Kim Lian and Liberal Option Sdn Bhd for MYR 52.9 million on November 14, 2025. As part of the acquisition, HI Mobility Berhad will acquire 100% stake in Handal BCM Sdn Bhd. As part of the consideration, 22 million new ordinary shares of HI Mobility Berhad will be issued to the shareholders of Handal BCM Sdn Bhd. In a separate agreement, HI Mobility Berhad entered into a conditional share agreement to acquire Acacia Motor Services Sdn Bhd. For the period ended June 30, 2025, Handal BCM Sdn Bhd reported a revenue of MYR 131.7 million, profit after tax of MYR 7.6 million and total equity of MYR 40.7 million. The transaction is subject to approval by regulatory board, approval of offer by the board and shareholders of HI Mobility Berhad and Liberal Option Sdn Bhd, listing/approval of new shares on stock exchange, consummation of due diligence investigation and approvals, consents and/or waivers from the financiers, creditors, regulatory authorities or third parties. The transactions are inter-conditional upon each other. On behalf of HI MOBILITY, Maybank IB is pleased to announce that Bursa Securities has, vide its letter dated January 29, 2026, resolved to approve the listing and quotation for 34.39 million new HI Shares to be issued pursuant to the Proposals. The transaction is expected to close in the first quarter of 2026. As of February 10, 2026, the Extraordinary General Meeting of HI Mobility Berhad will be held on February 26, 2026. On February 26, 2026, HI Mobility Berhad shareholders approved the transaction. Kenanga Investment Bank Berhad acted as financial advisor to HI Mobility Berhad. Maybank Investment Bank Berhad acted as financial advisor to HI Mobility Berhad. HI Mobility Berhad (KLSE:HI) completed the acquisition of Handal BCM Sdn Bhd from Lim Han Weng, Bah Kim Lian and Liberal Option Sdn Bhd on April 8 2026.
