Luxxfolio Holdings Inc. announced that it has received CAD 1.5534 million in funding On July 20, 2026, Luxxfolio Holdings Inc. closed the oversubscribed transaction. The company issued 7,767,000 Units at a price of CAD 0.20 per Unit, for gross proceeds of CAD 1,553,400. Each Unit consists of one common share of the Company and one half of one common share purchase warrant . Each Warrant entitles the holder thereof to purchase an additional Share at an exercise price of CAD 0.40 per Warrant Share for a period of 24 months from the closing of the Financing. The Company paid a further CAD 95,438 in cash finder’s fees and issued 477,190 share purchase warrants (the “Finder’s Warrants”) to arm’s length parties in connection with the Financing. The Finder’s Warrants entitle the holder to purchase one Share at a price of CAD 0.20 for a period of 24 months from the date of issuance. All securities issued in connection with the Financing, including the Units, the Shares, the Warrants and the Warrant Shares, are subject to a statutory hold period expiring four months and one day from the Closing, in accordance with applicable Canadian securities laws. Each Unit consists of one common share of the Company and one-half of one Share purchase warrant. Each Warrant entitles the holder thereof to purchase an additional Share at an exercise price of CAD 0.40 per Warrant Share for a period of 24 months from the closing of the Offering. The Company may pay finder’s fees in connection with the Offering in accordance with applicable securities laws and the policies of the Canadian Securities Exchange.
