Fintechwerx International Software Services Inc. (CNSX:WERX) completed the acquisition of Technology Assets of Ruby Loans.

Fintechwerx International Software Services Inc. (CNSX:WERX) signed a letter of intent to acquire Technology Assets of Ruby Loans for CAD 0.54 million on May 7, 2026. Fintechwerx International Software Services Inc. entered into an Intellectual Property and Technology Asset Purchase Agreement to acquire Technology Assets of Ruby Loans for CAD 0.54 million on July 6, 2026. FintechWerx would acquire the technology for consideration payable in a combination of cash and common shares in the capital of FintechWerx, subject to a maximum purchase price of CAD 550,000 and final terms to be determined through mutual due diligence and the negotiation of definitive documentation. In the Intellectual Property and Technology Asset Purchase Agreement, the consideration for the purchase of the Technology, FintechWerx has agreed to pay an aggregate purchase price of up to CAD 825,000 to the Vendor as follows: (i) pay CAD 100,000 in cash to the Vendor on the closing date of the Agreement (the “Closing Date”), of which FintechWerx has paid a refundable deposit of CAD 30,000 to the Vendor with the remaining CAD 70,000 to be paid on the Closing Date; (ii) issue 728,862 common shares in the capital of the Company (each, a “Share”) with a deemed price of CAD 0.6174 per Share on the Closing Date; and (iii) pay up to an aggregate of CAD 275,000 (the “Milestone Amount”) in tranches upon the successful completion of certain milestones and deliverables by allotting and issuing such number of Shares equal to the applicable Milestone Amount. In connection with the Agreement, FintechWerx has agreed to commence discussions with Fred Zdan, the founder of Ruby Loans, to appoint Zdan as the Executive Chairman and Chief Executive Officer of FinanceWerx Solutions Inc., a wholly-owned subsidiary of FintechWerx. The potential transaction remains subject to customary conditions, including the completion of mutual business and legal due diligence, the negotiation and execution of a definitive agreement to the satisfaction of the parties, and the receipt of all required corporate and regulatory approvals, including the approval of the Canadian Securities Exchange. It is anticipated to complete the Transaction in the coming weeks. Cozen O'Connor LLP acted as legal advisor for Fintechwerx International Software Services Inc.
