Kairos Gold Inc. announced that it has received CAD 9.824341 million in funding On July 16, 2026, Kairos Gold Inc closed the transaction. The company issued 16,373,902 units at a price of CAD 0.60 per unit, for aggregate gross proceeds of up to CAD 9,824,341.20. In connection with the closing of the Offering, in connection company paid cash commissions to qualified non-related parties in the aggregate amount of CAD 396,290 and issued an aggregate of 660,484 finders warrants. Each Finders Warrant is non-transferable and entitles the holder to acquire one Common Share at an exercise price of CAD 0.60 per Common Share for a period of one year from the date of issuance. The Company may accelerate the expiry of the Finders Warrants if the Common Shares trade at a price of at least CAD 1.00 per Common Share for ten consecutive trading days, subject to the terms of the Finders Warrants. David Orr, Michelle DeCecco and Jana Lillies, each an insider of the company acquired, directly or indirectly, an aggregate of 46,668 Units under the Offering. All securities issued pursuant to the Offering are subject to a statutory hold period of four months and one day from the closing date. The Offering remains subject to final acceptance by the TSXV. Kairos Gold Inc. announced that it expects to receive CAD 6 million in funding Kairos Gold Inc. announced a best-efforts non-brokered private placement to issue 10,000,000 units at an issue price of CAD 0.60 for the proceeds of CAD 6,000,000 on June 23, 2026. Each Unit will consist of one common share of the Company (“Common Share”) and one-half of a Common Share purchase warrant (“Warrant”). Each full Warrant will entitle the holder to acquire an additional Common Share at a price of CAD 0.88 for a period of two years from the date of closing. The company may pay a cash commission or finder's fee to qualified non-related parties of up to 6% of the gross proceeds of the Offering payable together with warrants representing 6% of the Common Shares issued in connection with the Offering. The Common Shares, Warrants and Broker Warrants issued pursuant to the Offering will be subject to a four month and one day hold period. Kairos Gold Commences Phase Three Diamond Drill Program At Oro Brillante Concession Kairos Gold confirmed that drilling has commenced on drill hole OB-01-26 at Oro Brillante. The 3,100-metre diamond drilling program, comprising 10 planned holes, is designed to further define and expand the known mineralized footprint through targeted infill drilling and testing along the property's primary northwest-southeast structural corridor. Results from the campaign are expected to provide important data to support a future mineral resource estimate. During site preparation and pad construction, the company encountered multiple zones of alteration and strong oxidation within the drill area. These observations further support the company's geological interpretation and the broader potential of the Oro Brillante project. The Phase Three exploration program is expected to continue over the next 12-weeks. The company will provide updates and assay results as they become available.
