Aldoro Resources Limited Announces Appointment of Quinn Li as Executive Chair and Executive Director, Effective July 1, 2026 Aldoro Resources Limited advised that Quinn Li had entered into an updated Executive Services Agreement to resume the role of Executive Director effective July 1, 2026. Quinn Li also continued to serve as Executive Chair. The Board approved the revised Executive Services Agreement to formalise her active operational duties across both roles. The updated Executive Services Agreement followed a comprehensive review of Quinn Li's executive responsibilities and reflected the significant evolution of both the Company and her role since her appointment in October 2024. During this period, Aldoro Resources Limited evolved from an exploration-focused company into a rapidly advancing critical minerals development company, with significant growth in its operational, technical, commercial and strategic activities across Australia, Namibia and Asia. In parallel with this transformation, the scope and complexity of Quinn Li's executive responsibilities expanded substantially beyond those traditionally associated with the positions of Executive Chair and Executive Director. In addition to providing Board leadership, Quinn Li led or oversaw many of the Company's key strategic initiatives, including corporate strategy and executive leadership, capital raising and strategic financing initiatives, project financing and strategic investor engagement, government and stakeholder engagement across Australia, Namibia and China/Hong Kong, resource development strategy and project advancement, metallurgical programmes, development studies and pilot plant initiatives, scoping study and PFS study, mining licence strategy, permitting and land acquisition, EPC, strategic partnership and offtake negotiations, and coordination of the Company's proposed Hong Kong Stock Exchange listing initiative. The Board approved an updated Executive Services Agreement that reflected the current scope and complexity of Quinn Li's executive role. New major risk - Shareholder dilution The company's shareholders have been substantially diluted in the past year. Increase in shares outstanding: 33% This is considered a major risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. Currently, the following risks have been identified for the company: Major Risks Less than 1 year of cash runway based on free cash flow trend (-AU$3.9m free cash flow). Earnings have declined by 58% per year over the past 5 years. Shareholders have been substantially diluted in the past year (33% increase in shares outstanding). Coppermoly Limited (ASX:COY) acquired Wyemandoo Project and Altilium Metals Pty Ltd from Aldoro Resources Limited (ASX:ARN). Coppermoly Limited (ASX:COY) entered into a binding sale agreement to acquire Wyemandoo Project and Altilium Metals Pty Ltd from Aldoro Resources Limited (ASX:ARN) for AUD 0.1 million on September 17, 2025. A cash consideration of AUD 0.1 million will be paid by Coppermoly Limited.
Completion of the transaction remains subject to customary conditions precedent, including due diligence, regulatory approvals and assignment documentation.
