Jcurve Solutions Limited Announces Board and Committee Changes, Effective October 1, 2026

Jcurve Solutions Limited announced a planned refresh of its Board of Directors and an orderly transition of Board leadership. Non-Executive Director Mr. Martin Green retired from the Board effective October 1, 2026. Mr. Green joined the Board in January 2021. Mr. Chris Miller was appointed as a Non-Executive Director effective October 1, 2026. Mr. Miller is United States based and will be appointed as a non-independent director. Mr. Miller is Senior Vice President at Netgain Solutions, where he bridges customer needs and product development for complex accounting organizations. Prior to Netgain, Mr. Miller spent more than eight years at Oracle NetSuite as the founding member and Director of the Finance Center of Excellence and was named Distinguished Solution Specialist at the time of Oracle's acquisition of NetSuite. He later served as Global Financial Architect for strategic initiatives, working across every industry vertical and contributing to the development of advanced revenue management, multi-book and global accounting, and intercompany management. He was recognized multiple times as both a Global and North American MVP. Mr. Miller also served as Regional Financial Principal at Workday, architecting financial solutions for Fortune 500 pursuits. He began his career in operating finance, holding Chief Financial Officer, Director of Finance and Controller roles across the construction and healthcare industries. Mr. Miller holds an MBA in Finance from the University of Colorado Boulder's Leeds School of Business, where he graduated magna cum laude, and is a Certified Public Accountant. Mr. Miller will be a member of Jcurve’s Audit and Risk Committee. Mr. Mark Jobling retired from the Board and as Non-Executive Chair effective October 1, 2026. Mr. Jobling joined the Board in April 2015 and has been Chair since 2021. Mr. Adam Davenport was appointed as a non-executive director and assumed leadership of the Board as Chair from October 1, 2026. Mr. Davenport has 40 years of experience in cybersecurity, systems integration, IT services, corporate governance and commercial law. He has held senior executive, board and advisory roles with listed and private companies across Australia, Europe, Asia and Africa. Most recently Mr. Davenport founded Loop Secure Pty Limited, a cybersecurity business, where he led strategy and governance for 17 years prior to its successful sale in 2022. His previous senior leadership roles include Managing Director of ASX-listed Cellnet Limited, Regional Vice President of Getronics BV (EMEA Region) and as a non-executive director of JSE-listed CS Holdings (Africa) Limited and Managing Director, Blue Star Group (Australia) Pty Limited. He has also served as a non-executive director of Office Choice Limited. Mr. Davenport holds a Bachelor of Laws from the University of Sydney and started his career as a commercial and intellectual property lawyer, including as a Senior Associate at Baker & McKenzie. Mr. Davenport will be a member of Jcurve’s Audit and Risk Committee and Chair of the Remuneration and Nomination Committee. The Board composition effective October 1, 2026, will comprise Mr. Adam Davenport – Independent Non-Executive Chair, Chair of the Remuneration Committee; Mr. Robert Wright – Independent Non-Executive Director, Chair of the Audit Committee; Mr. Graham Baillie – Non-Independent Non-Executive Director; and Mr. Chris Miller – Non-Independent Non-Executive Director. The Audit and Risk Committee will comprise Mr. Wright (Chair), Mr. Davenport (Member), and Mr. Miller (Member). The Remuneration and Nomination Committee will comprise Mr. Davenport (Chair), Mr. Baillie (Member), and Mr. Wright (Member). Both Mr. Miller and Mr. Davenport will be proposed for election at the 2026 Annual General Meeting, having been appointed under the casual vacancy provisions of the Company’s Constitution.
