Shaires Holdings Ltd is a venture capital firm specializing in mid to late stage investments with lesser weighting on earlier stage. The firm is sector agnostic and prefers to invest in technology, energy, materials, industrials, consumer discretionary, consumer staples, health care, financials, information technology, communication services, utilities, real estate and frontier AI across robotics, applied intelligence, defense, applied science, fintech, consumer technology sectors. The firm prefers to invest in the United States, Europe, and Asia. The firm will primarily take direct stakes in private companies, either through cash investments or through issuing its own shares as consideration. It may also invest through indirect structures (including but not limited to special purpose vehicles) and in listed securities, futures, exchange traded funds, money market funds, over-the-counter traded securities, currencies, convertible securities, forward contracts and contractual obligations or similar such assets. It could take long or short positions in such assets. The firm should ensure that such investment does not represent more than 20% of its net asset value immediately following the relevant transaction, except while its net asset value is less than $100 million. With early-stage investments, the firm shall ensure that, on a cumulative basis, such investments do not represent more than 25% of its net asset value immediately following the relevant transaction. The firm will consider issuing its own shares for interests in other companies, but cross holdings will be limited to 20 percent of the firm's issued shares in aggregate from time to time.
