New major risk - Shareholder dilution The company's shareholders have been substantially diluted in the past year. Increase in shares outstanding: 271% This is considered a major risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. Portmeirion Group PLC Announces Board Appointments, Effective July 1, 2026 Portmeirion Group PLC announced the appointments of Jane Mason as UK & Europe Director and Hayley Baddiley as Group Marketing Director to support delivery of the Group's transformation plans. They will both join the Company on 1 July 2026 and will report to Group CEO, Michael Scheepers. Jane brings a wealth of sector experience, and joins from UK ceramics business Denby where she was UK & Ireland Managing Director. She held previous senior roles as Head of Sales for over 14 years at Le Creuset UK, UK Managing Director for DK Household Brands and Global Sales Director for the hospitality business Craster. Jane also chairs the BHETA Housewares Committee and is a Trustee of the Calne Foodbank. In her role Jane will lead commercial activities across the UK and European markets, with responsibility for sales growth, customer relationships, channel development (owned retail, third-party retail, B2B and e-commerce) and performance across all channels. Hayley also joins the Group having spent over a decade leading on brand transformation and multi-channel communication strategies as Global Marketing Director for Denby. In her role Hayley will lead the Group's brand and marketing strategy, with responsibility for strengthening brand equity, particularly for the Group's three hero brands - Spode, Portmeirion and Royal Worcester, improving consumer engagement and ensuring marketing activity delivers clear commercial impact across the Group's core brands and markets.
