It may also indicate the stock is highly sensitive to market conditions or economic conditions rather than being sensitive to its own business performance, which may also be inconsistent. New minor risk - Insider selling There has been significant insider selling in the company's shares over the past 3 months. Total value of shares sold: S$3.4m This is considered a minor risk. There are several reasons why an insider may be selling, including to cover a tax obligation or pay for some other expense. However, we generally consider it a negative if insiders have been selling, especially if they do so below the current price. It implies that they considered a lower price to be reasonable. This is a weak signal, but if there is a pattern of unexplained selling, it can be a sign the insider believes the company's stock is overpriced. Note: We only include open market transactions and private dispositions of directly owned stock by individuals, not by corporations or trusts. Currently, the following risks have been identified for the company: Major Risk Earnings have declined by 67% per year over the past 5 years. Minor Risks Share price has been volatile over the past 3 months (8.8% average weekly change). Shareholders have been diluted in the past year (9.4% increase in shares outstanding). Significant insider selling over the past 3 months (S$3.4m sold). Revenue is less than US$5m (S$4.5m revenue, or US$3.3m). Market cap is less than US$100m (S$20.6m market cap, or US$15.0m). Datapulse Technology Announces Management Changes Datapulse Technology Directors have tendered their resignations from the company's board of directors, triggering a reconstitution, based on multiple bourse filings on Wednesday (Jul 12) night. Aw Cheok Huat, who served as non-independent non-executive director, stepped down due to "ongoing disagreements with another controlling shareholder on the strategic direction of the company". Likewise, independent non-executive director Choong Chee Peng Bert resigned due to these "difficulties encountered". Yeung Koon Sang, lead independent director, stepped down "to facilitate the renewal and restructuring of the board requested by a substantial shareholder". Aw, who was the board's chairman, will be replaced by board director Ang Kong Meng as both non-independent non-executive director and chairman. In June, Ang had requisitioned an extraordinary general meeting (EGM) to pass eight resolutions. The requisition was withdrawn on Jul 12, following the board changes. He had sought to remove five fellow board members - including Aw, Choong and Yeung, as well as Lau Yan Wai. He also requested for Yee Chia Hsing to be removed as the company's director, but to remain as its chief executive. After the reconstitution, Yee, Lau and Yap Ming Choo remain members of the board of directors. Ang also wanted to appoint two new board directors - Hor Siew Fu, independent director and chairman of the audit committee at water-treatment company Memiontec; and Perry Yuen, mergers and acquisitions partner at law firm Shook Lin & Bok. Following the board shake-up, Datapulse will need to appoint one additional independent director, to ensure that it comprises a majority of independent directors, in compliance with corporate governance rules. New minor risk - Shareholder dilution The company's shareholders have been diluted in the past year. Increase in shares outstanding: 2.2% This is considered a minor risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. Currently, the following risks have been identified for the company: Major Risks Share price has been highly volatile over the past 3 months (15% average weekly change). Earnings have declined by 78% per year over the past 5 years. Minor Risks Shareholders have been diluted in the past year (2.2% increase in shares outstanding). Revenue is less than US$5m (S$2.8m revenue, or US$2.1m). Market cap is less than US$100m (S$20.1m market cap, or US$14.9m). Aankondiging • Jun 22
