Podium Minerals Limited (ASX:POD) agreed to acquire Assets from EVM Nickel Pty Ltd for AUD 4.4 million on October 25, 2024. The consideration consists of 2.27 million common equity of Podium Minerals Limited to be issued for assets and 110.71 million common equity of Podium Minerals Limited to be issued for convertible debt of Assets of EVM Nickel. As part of consideration, an undisclosed value is paid towards assets and an undisclosed value is paid towards convertible debt of Assets of EVM Nickel.
The transaction is subject to approval by regulatory board / committee, approval of bankruptcy court and approval of offer by acquirer shareholders. The transaction is also subject to approval by EVM Nickel Pty Ltd creditors.
In February 2024 Johnson Matthey, as the secured creditor of EVM Nickel Pty Ltd, placed EVM Nickel Pty Ltd into administration and appointed Thomas Donald Birch and Jeremy Joseph Nipps of Cor Cordis as the administrators. The payment of AUD 1.17 million to the administrators for fees, costs and project expenses and distribution to creditors in accordance with the deed of company arrangement.
