Touchpoint Group Holdings Receives A Written Alert from OTC Markets Group On February 23, 2022, Touchpoint Group Holdings, Inc. received a written alert from OTC Markets Group notifying that its closing bid price for the last 30 consecutive calendar days was less than $0.01 per share and that it no longer meet the Standards for Continued Eligibility for OTCQB. Section 2.3(2) of the OTCQB Standards states that a company must “maintain proprietary quotes published by a Market Maker in OTC Link with a minimum closing bid price of $0.01 per share on at least one of the prior thirty consecutive calendar days.” Pursuant to Section 4.1 of the OTCQB Listing Standards, it will be granted a cure period of 90 calendar days during which the minimum closing bid price for the common stock must be $0.01 or greater for ten consecutive trading days in order to continue trading on the OTCQB marketplace. If this requirement is not met by May 24, 2022, the common stock will be removed from the OTCQB. Begins Development of Aerial NFT Products for Metaverse Touchpoint Group Holdings, Inc. announced it has begun its initial phase to develop its advanced aerial mobility vehicles into non-fungible token (NFT) products for the metaverse gaming sector. Touchpoint, in conjunction with its partner AppSwarm Corp. (OTC: SWRM), have begun phase one development to leverage the company's AIR RACE World Championship of clean energy aviation vehicles into a suite of NFT products for virtual gaming and the metaverse. Aerial NFT Products: The Company will look to convert some of their advanced aerial vehicles into NFT products for the metaverse and gaming industry utilizing several 3D software solutions such as Voxel, and Unity. In voxel-powered metaverses, such as CryptoVoxels and The SandBox, users can build scenes, items, buildings, and even products for games. High-Def Flight Simulation: The Company will also begin production of high-fidelity flight simulation programs utilizing both VR180 and new wave 360/VR video formats for such VR devices as HP Reverb and Oculus Quest. These programs will allow users to experience real-time flight simulation experience of Air Show pilots using some of today’s more advanced aerial mobility vehicles. Air Show VIP Access with NFTs: Touchpoint will also be announcing exclusive NFT access passes to their AIR RACE World Championship events. Touchpoint Group Announces Plans to Develop and Launch its Own Proprietary NFT Platform for Celebrities and Influencers Touchpoint Group Holdings, Inc. announced it plans to pursue its own non-fungible token ("NFT") blockchain platform with the aim of integrating the NFTs into its Touchpoint video streaming platform for celebrities and influencers. By utilizing the Ethereum blockchain, these NFTs will be used to authenticate pieces of digital assets, allowing for easy identification and added value. In recent times, celebrities have sought out digital artists to mint their own non-fungible tokens to tokenize everything from music to artwork, to special live experiences. Touchpoint will integrate NFTs into its Touchpoint Connect platform further enhancing its application that offers video live streaming, content library and merchandising to its celebrity and influencer customers. NFTs are a growing trend in the music industry. Transactions using NFTs allow audiences to participate in auctions for unique content from the artists they love. Touchpoint Group Holdings, Inc. announced that it expects to receive $0.145 million in funding from FirstFire Capital Management LLC Touchpoint Group Holdings, Inc. (OTCPK:TGHI) announced that it has entered into securities purchase agreement for private placement of convertible promissory note for gross proceeds of $145,000 on June 15, 2020. The transaction will include participation from FirstFire Global Opportunities Fund LLC, a fund managed by FirstFire Capital Management LLC. The note carries fixed interest rate of 10% per annum. The note matures on June 15, 2021 and is convertible into common shares at a par value of $0.0001, at the lender’s election, after 180 days, at a 35% discount, provided that the lender will not own greater than 4.99% of the company’s common stock at any time. The note contains customary default provisions and may be prepaid only prior to the 180th day after issuance provided the company pays the agreed upon prepayment fee specified in the note.
