Location: 386 Main Street, Worcester, Worcestor Massachusetts United States Agenda: To consider elect two members to Board of Directors; to consider ratify the appointment of RBSM, LLP as independent registered public accounting firm for our fiscal year ending September 30, 2023; to consider grant discretionary authority to our Board to (i) combine outstanding shares of our common stock into a lesser number of outstanding shares, or a “reverse stock split,” at a specific ratio within a range of 1-for-2 to a maximum of a 1-for-100 split, with the exact ratio to be determined by our Board in its sole discretion; and (ii) effect the reverse stock split, if at all, within two years of the date the proposal is approved by stockholders; to consider transact such other matters as may properly come before the Annual Meeting and any adjournment or postponement thereof.
